Reporting directly to the Chief Legal Officer (CLO), you will play a crucial role in overseeing the legal team and collaborating with external legal advisors, while ensuring that all M&A endeavors are compliant with legal standards and align with the strategic goals of the organization. Your enthusiasm for technology and commitment to public safety will be essential in supporting Axon's mission to Protect Life.

Key Responsibilities:

  • Support the CLO in managing Axon's legal and compliance teams, enhancing legal operations.
  • Formulate and execute the legal framework for M&A initiatives that align with the company's business and legal strategies.
  • Provide expert advice on securities legislation and reporting obligations.
  • Collaborate with the CLO to engage with the Board and promote effective governance practices.
  • Lead thorough due diligence efforts for prospective transactions.
  • Evaluate and identify legal risks, ensuring comprehensive analysis of regulatory, compliance, intellectual property, and contractual matters.
  • Oversee external legal counsel for specialized due diligence and transaction-related support.
  • Work alongside the Strategy & Corporate Development team to provide legal guidance on complex M&A transactions.
  • Prepare and deliver legal assessments and updates regarding M&A activities to the executive leadership and Board of Directors.
  • Maintain open lines of communication with internal and external stakeholders to ensure clarity and alignment.
  • Collaborate with cross-functional teams to facilitate smooth transaction execution and integration, addressing M&A-related legal issues.
  • Assess legal risks related to regulatory compliance, intellectual property, and contractual obligations to effectively manage enterprise risk.
  • Draft, review, and negotiate documents pertinent to transactions, ensuring compliance with applicable laws and regulations to safeguard the company's interests.
  • Advise on adherence to securities laws, antitrust regulations, and other relevant requirements.
  • Engage with regulatory bodies and manage necessary filings or approvals.
  • Provide legal support for post-merger integration, including contract assignments, employee transitions, and compliance with regulations, addressing any legal challenges that arise during integration.
  • Perform additional duties as required.
Qualifications:
  • J.D. from an accredited law school with exceptional academic achievements.
  • Admission to a State Bar in the United States.
  • A minimum of 10 years of experience at a leading law firm or in-house legal department of a public company.
  • Proven expertise in M&A, securities law, and corporate governance.
  • Significant experience managing complex M&A transactions, ideally in the technology or financial services sectors.
  • Exceptional writing, analytical, negotiation, communication, strategic thinking, and presentation skills.
  • In-depth knowledge of corporate and securities laws, regulations, and industry standards.
  • Strong leadership qualities, attention to detail, problem-solving capabilities, and organizational skills.
  • Demonstrated ability to work effectively within a team in a fast-paced, dynamic environment.
