The Legal, Security, and Policy (LSP) team at Adobe collaborates with various business units to oversee the company's legal and governmental responsibilities. This includes specialized sub-teams focused on Policy, Compliance, Anti-piracy, Corporate Securities and M&A, Litigation, Intellectual Property, Privacy, Trademarks & Marketing, Employment, Real Estate, Security, Operations, and Product and Sales support. The LSP team embraces innovative practices to align with Adobe's strategic objectives.

Position Overview

In this context, Adobe is in search of a Vice President of Corporate Legal Affairs to lead and provide strategic direction for all corporate legal matters, supporting the executive leadership and Board of Directors. As the head of the Corporate Legal Group, this individual will offer legal guidance on mergers and acquisitions, public company securities reporting, and corporate governance. The role encompasses oversight of insider trading compliance, executive compensation, real estate, tax, aviation, and general corporate advisory. This position carries global responsibilities, including Board of Directors management and direct collaboration with the CFO. The successful candidate will lead a dedicated team that adapts to Adobe's dynamic business environment while ensuring compliance with changing laws and industry standards.

Reporting to Adobe's General Counsel and Chief Trust Officer, Dana Rao, the Vice President will possess a strong background in securities law, mergers and acquisitions, and experience as a product attorney. The ideal candidate will demonstrate intellectual curiosity to gain a comprehensive understanding of Adobe's business and offerings. This leader will exhibit strong executive presence and effective communication skills across all organizational levels, including interactions with the Executive team, Board of Directors, and Shareholders. Proven success in cross-functional collaboration and strong writing skills are essential.

Key Responsibilities

  • Manage corporate securities reporting for public company compliance;
  • Oversee corporate governance, including Board of Directors meeting materials and documentation;
  • Engage in investor relations as part of a team reaching out to major investors;
  • Support ESG initiatives, including discussions with stewardship teams of key shareholders;
  • Lead global M&A and investment activities from execution to integration;
  • Collaborate with the treasury department on debt offerings and cash management;
  • Advise on the design of Adobe's executive compensation plan;
  • Provide legal oversight for aviation-related matters;
  • Handle legal aspects of real estate, facilities, and construction projects;
  • Manage legal compliance for global subsidiaries and tax structures across approximately 40 countries;
  • Lead a team of over 20 employees, including Directors and Senior Directors.
Qualifications
  • Juris Doctor from a prestigious law school and a minimum of 12 years of relevant experience in a top law firm or in-house legal department, particularly in federal securities law and corporate governance, with additional experience in contracts, product counseling, or intellectual property preferred.
  • Exceptional relationship management skills, with the ability to cultivate partnerships across the organization and with key external stakeholders.
  • Strategic thinker with strong legal and business judgment, demonstrating integrity and ethical conduct.
  • Innovative leader with a collaborative approach and a positive attitude, experienced in working effectively with cross-functional teams.
