The Legal, Security, and Policy (LSP) team at Adobe collaborates with various business units to oversee the company's legal and governmental responsibilities. Our sub-teams encompass areas such as Policy, Compliance, Anti-piracy, Corporate Securities and M&A, Litigation, Intellectual Property, Privacy, Trademarks & Marketing, Employment, Real Estate, Security, Operations, and Product and Sales support. The LSP team embraces innovative strategies and best practices to align with Adobe's business objectives.
Position Overview
In this context, Adobe is looking for a Vice President of Corporate Legal Affairs to lead and provide strategic direction for all corporate legal matters, supporting the executive team and Board of Directors. As the leader of Adobe's Corporate Legal Group, this individual will offer legal guidance on mergers and acquisitions, public company securities reporting, and corporate governance. The role includes managing insider trading compliance, executive compensation, real estate, tax, aviation, and general corporate advisory services. This position carries global responsibilities, including Board of Directors management and direct collaboration with the CFO. The VP will lead a dedicated team focused on addressing Adobe's evolving business requirements while ensuring compliance with changing laws and industry standards.
Reporting to Adobe's General Counsel and Chief Trust Officer, Dana Rao, the VP will be a seasoned attorney with strategic and operational expertise in securities law and mergers and acquisitions, ideally with experience as a product attorney. The ideal candidate will demonstrate a strong intellectual curiosity to deeply understand our business and products. This leader will possess a commanding executive presence and the ability to communicate effectively across all organizational levels, including the Executive team, Board of Directors, and Shareholders. Proven success in cross-functional collaboration and strong writing skills are essential.
Key Responsibilities
- Oversee corporate securities compliance and public company reporting;
- Manage corporate governance activities, including Board of Directors meeting agendas, materials, and minutes;
- Engage in investor relations as part of a team that communicates with major investors;
- Support Environmental, Social, and Governance (ESG) initiatives, including discussions with key shareholders;
- Lead global mergers and acquisitions, from execution to integration;
- Collaborate with the treasury department on debt offerings and cash management;
- Advise on executive compensation strategies in partnership with relevant leaders;
- Oversee legal matters related to aviation;
- Manage real estate, facilities, and construction legal work globally;
- Ensure compliance for global subsidiaries and tax structures across approximately 40 countries;
- Lead a team of over 20 professionals, including Directors and Senior Directors.
- Juris Doctor degree from a prestigious law school, with a minimum of 12 years of relevant experience in a top law firm or in-house legal department, particularly in federal securities law and corporate governance; additional experience in contracts, product counseling, or intellectual property is preferred.
- Exceptional relationship management skills, with a proven ability to build partnerships across the organization and with key external stakeholders.
