Reporting directly to the Chief Legal Officer (CLO), you will support the CLO in overseeing the legal team and external legal advisors, while personally managing critical corporate initiatives to ensure that all M&A endeavors adhere to legal frameworks and bolster the company's strategic vision. Key Responsibilities:

  • Assist the CLO in directing Axon's legal and compliance departments and legal operations.
  • Develop and execute the legal framework for M&A initiatives that align with the company's business and legal goals.
  • Provide expert advice on securities legislation and reporting obligations.
  • Collaborate with the CLO to engage with the Board and promote effective governance practices.
  • Lead thorough due diligence efforts for prospective transactions.
  • Evaluate and identify legal risks, ensuring comprehensive assessment of regulatory, compliance, intellectual property, contractual, and other legal factors.
  • Oversee external legal advisors as necessary for specialized due diligence and transaction assistance.
  • Work closely with the Strategy & Corporate Development team to provide legal guidance on complex M&A activities.
  • Prepare and deliver legal assessments and updates regarding M&A activities to the executive leadership and board.
  • Maintain clear communication with both internal and external stakeholders to ensure alignment and transparency.
  • Collaborate with cross-functional teams to facilitate smooth transaction execution and integration, addressing M&A-related legal matters.
  • Assess and manage legal risks, focusing on regulatory compliance, intellectual property, contractual obligations, and other legal considerations.
  • Draft, review, and negotiate documentation related to transactions, ensuring compliance with applicable laws and safeguarding the company's interests.
  • Advise on adherence to securities regulations, antitrust laws, and other legal requirements.
  • Engage with regulatory bodies and manage necessary filings or approvals.
  • Provide legal support for post-merger integration, including contract assignments, employee transitions, and compliance with regulations, resolving any legal challenges that arise during integration.
  • Perform additional duties as assigned.

Qualifications:
  • J.D. from an accredited law school with exceptional academic achievements.
  • Admission to a State Bar in the United States.
  • At least 10 years of experience at a prestigious law firm or in-house legal department of a public company.
  • Proven expertise in M&A, securities law, and corporate governance.
  • Extensive experience managing complex M&A transactions, ideally within the technology or financial services sectors.
  • Exceptional writing, analytical, negotiation, communication, strategic thinking, and presentation abilities.
  • Strong grasp of corporate and securities laws, regulations, and industry practices.
  • Demonstrated leadership, meticulous attention to detail, problem-solving skills, and organizational capabilities.
  • Proven ability to collaborate effectively within a fast-paced, dynamic team environment.
