Position Overview


The Corporate Paralegal will deliver essential paralegal assistance primarily to corporate attorneys in the Boston or New York offices, while also supporting the Corporate section across the firm as required.


Key Responsibilities:
1. Prepare for and assist with client meetings and closings.
2. Draft closing agendas, corporate resolutions, closing certificates, assignments, releases, and bills of sale for attorney review.
3. Assemble and catalog due diligence materials, assisting attorneys in their analysis.
4. Order and analyze UCC, Tax Lien, and Litigation Searches.
5. Obtain Certificates of Good Standing and certified documents for closings and legal opinions.
6. Maintain corporate and stock records.
7. Draft and file SEC, Blue Sky, and UCC filings.
8. Prepare and file entity formation documents for various business structures, including profit and non-profit corporations, LLCs, and partnerships.
9. Draft and file annual reports and documents for qualifications, mergers, conversions, and dissolutions.
10. Process audit letters.
11. Take on additional responsibilities as needed.

This role requires 60% in-office presence, with the possibility of remote work 40% of the time.

Qualifications:
1. Bachelor's degree required.
2. 4+ years of experience as a corporate paralegal, preferably in a mid to large law firm.
3. Excellent written and verbal communication skills.
4. Strong organizational and administrative capabilities.
5. High attention to detail and ability to follow through on tasks.
6. Creative problem-solving skills and logical reasoning.
7. Ability to manage pressure, prioritize tasks, and meet deadlines.
8. Proven ability to interact and collaborate professionally with colleagues at all levels.
9. Capability to work independently and as part of a team.
10. Exceptional customer service orientation.
11. Positive, proactive attitude.
12. Discretion in handling confidential matters.
