Role Overview:
As the Vice President of Private Credit and Middle Market Lending Legal Affairs, you will provide essential legal guidance to our investment teams regarding the review, negotiation, and management of financing transactions, including Middle Market Loans, Private Placements, and Project Finance.

Key Responsibilities:
- Offer legal counsel for direct and syndicated Middle Market Loans, Private Placement, Special Situations, and Project Finance debt investments.
- Collaborate with deal teams to structure and negotiate deal terms, covenants, and term sheets.
- Advise on legal implications and risks associated with transaction terms, structures, amendments, and consents.
- Review and negotiate transaction documentation, including loan agreements, note purchase agreements, and collateral documents.
- Address issues arising from distressed investments, facilitating restructurings or workouts as necessary.
- Oversee special projects related to client requests, including portfolio management and securities transfers.
- Lead the deal funding and closing processes, ensuring all materials and checklists are prepared to support investment recommendations.
- Work effectively with external counsel on relevant matters and assist with investment regulatory and compliance issues.

Preferred Qualifications:
- Juris Doctor (J.D.) from an ABA-accredited law school and active membership in a state bar.
- Minimum of six years of relevant transactional experience, either in a law firm or in-house at a financial institution.
- Proficient in drafting, reviewing, and negotiating documents for Middle Market/Direct lending transactions, with additional experience in restructurings and project finance being advantageous.
- Strong verbal and written communication skills, along with analytical and research capabilities.
- Ability to manage transactions effectively and work independently while meeting deadlines.
- A collaborative team player who engages with other attorneys and investment professionals.

Compensation and Benefits:
- Competitive base salary range of $168,000 to $210,000, with additional incentive opportunities based on performance.
