Position Overview

We are currently in search of a seasoned and versatile senior corporate counsel to join the Governance and M&A practice group within our legal department. This team is responsible for offering legal guidance on various corporate and securities matters, including compliance with '34 Act and other securities laws, corporate governance, and support for the Board of Directors. Additionally, the group handles strategic transactions such as mergers and acquisitions, divestitures, joint ventures, and equity investments. The role reports directly to the Vice President, Assistant General Counsel.

Key Responsibilities

  • Provide legal counsel on securities law and SEC reporting, including earnings press releases, periodic reports, proxy statements, and annual reports, along with disclosure advice and investor relations support.
  • Advise on corporate governance matters, supporting the Board of Directors and its Committees, as well as developing corporate governance policies and ensuring compliance with stock listing requirements.
  • Manage merger, acquisition, and divestiture transactions, including drafting confidentiality agreements, conducting due diligence, negotiating and drafting term sheets and definitive agreements, addressing antitrust issues, and providing integration support.
  • Oversee executive compensation and broad-based equity compensation matters, including equity compensation plans, cash incentive plans, and governance policies.
  • Handle general corporate matters, including subsidiary maintenance and inter-company transactions.
  • Stay informed on external governance trends, SEC issues, and best practices, providing updates to executives as necessary.

Qualifications

  • Juris Doctor degree from an accredited law school, with a minimum of 8 years of combined experience in law firms and in-house corporate roles, including at least 3 years in progressively responsible leadership positions.
  • Preferred candidates will have substantial in-house experience within a large public multinational corporation.
  • Demonstrated hands-on, solution-oriented experience in the areas outlined above is essential.
  • The ability to work independently and proactively while being a collaborative team player in a fast-paced environment is crucial.
  • Strong oral and written communication skills are required, along with a valid license to practice law.
  • A comprehensive understanding of practice areas gained through significant exposure to complex legal and business scenarios is necessary.

Compensation

The pay range for this full-time position is competitive and includes eligibility for bonuses, stock options, and benefits. Individual compensation will be determined based on various factors, including job-related skills, experience, and education.
