The Role

The Corporate Attorney will oversee and execute the legal aspects of OsteoCentric Technologies, Inc. business operations, focusing on mergers, acquisitions, and capital raising activities. This role involves managing all aspects of M&A transactions, including due diligence, drafting and negotiating agreements, and ensuring regulatory compliance. Additionally, this role will handle equity and debt financings, prepare and review investor communications, and maintain corporate governance standards. The M&A/Capital Attorney will work closely with internal teams and external counsel to support strategic growth initiatives, providing legal guidance on financial structuring, capital allocation, and investment opportunities.

What You Will Do:

  • Mergers & Acquisitions:
    • Due Diligence: Conduct thorough legal due diligence to identify potential risks and liabilities in target companies.
    • Drafting and Negotiation: Draft, review, and negotiate acquisition agreements, merger agreements, and related transactional documents.
    • Transaction Structuring: Advise on the structuring of M&A transactions to ensure compliance with legal and regulatory requirements.
    • Integration Planning: Assist in planning and executing the integration of acquired businesses, including aligning legal and regulatory practices.
    • Closing Processes: Oversee the closing process, ensuring all legal conditions are met and documentation is properly executed.
  • Capital Raising and Financing:
    • Equity Financing: Draft and review documents related to equity financing, including stock purchase agreements, shareholder agreements, and private placement memoranda.
    • Debt Financing: Draft and review documents related to debt financing, including loan agreements, promissory notes, and security agreements.
    • Securities Compliance: Ensure compliance with securities laws and regulations, including the preparation and filing of required disclosures with the SEC and other regulatory bodies.
    • Investor Communications: Prepare and review communications with investors, including investment summaries, prospectuses, and reports.
  • Corporate Governance:
    • Board Resolutions: Draft and review board resolutions and minutes of board meetings to ensure proper documentation of corporate decisions.
    • Corporate Records: Maintain corporate records and ensure compliance with corporate bylaws and statutory requirements.
    • Investor Meetings: Prepare legal documentation for investor meetings, including notices, proxies, and meeting minutes.
  • Regulatory Compliance:
    • Healthcare Regulations: Ensure compliance with industry-specific regulations, including FDA regulations and other relevant healthcare laws.
    • General Compliance: Advise on compliance with general corporate laws, including antitrust regulations, environmental laws, and employment laws.
  • Investor Relations:
    • Legal Documentation: Prepare legal documentation for investor communications, shareholder meetings, and public disclosures.
    • Stakeholder Engagement: Manage relationships with investors and financial institutions, providing legal support during fundraising efforts and investment negotiations.
  • Strategic Planning:
    • Financial Structuring: Advise on financial structuring, capital allocation, and investment opportunities to support business growth.
    • Risk Assessment: Identify and mitigate legal risks associated with business operations, investments, and financing activities.
  • Litigation and Dispute Resolution:
    • Litigation Management: Oversee and manage litigation matters related to M&A and capital activities, working with external counsel as necessary.
    • Dispute Resolution: Handle disputes arising from M&A transactions and capital raising activities, including negotiation and settlement of claims.
  • Internal Collaboration:
    • Cross-Functional Teams: Work closely with cross-functional teams, including finance, operations, human resources, and compliance, to support M&A and capital activities.
    • External Counsel: Coordinate with external legal counsel on complex transactions and specialized legal matters.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to at least one state bar
  • At least 5 years of years of corporate experience and must have significant experience in corporate law practice with a focus on start-up representation and experience in venture capital, emerging companies, and M&A transactions. Experience with licensing deals is a plus.
  • Bachelor’s or advanced degree in biomedical engineering, mechanical engineering, or a related field
  • Excellent analytical and negotiation skills
  • Effective communication skills, both written and verbal
  • Ability to thrive in a fast-paced and dynamic environment
  • This role will work in our North Austin Office

Compensation: Compensation will be commensurate with experience and the market.
