Job Description

The Legal and Government Relations (LGR) team is focused on delivering an industry-leading client service experience by providing advisors and our internal business partners with proactive guidance, advice, advocacy and consultative partnerships.

The paralegal in this position will engage in a broad range of paralegal and administrative duties in support of the Corporate Legal group of LPL Financial Holdings Inc. This position reports to the SVP, Associate General Counsel of LPL's Legal and Government Relations Department, and is a highly visible role that requires frequent interaction with the Company's senior management and directors, as well as employees across the firm and outside law firms.

Responsibilities:

  • Assisting with the preparation of documents related to board and committee meetings, including drafting resolutions, written consents and minutes
  • Supporting the preparation and distribution of meeting agendas, work plans, board presentations and other materials in connection with board and committee meetings
  • Assisting with the scheduling and logistical planning of board and committee meetings, including coordination with board members, senior management, executive assistants and LPL's corporate events team
  • Maintaining the records of board meetings and actions, including meeting minutes and board consents
  • Maintaining corporate entities, coordinating signatures, registering and maintaining each entity in good standing, and ensuring annual reports are filed
  • Ensuring corporate records and minute books for all entities are kept up to date
  • Maintaining corporate governance section of the Company's investor relations website
  • Serve as go-to resource for board-related information requests from attorneys, employees and auditors
  • Assisting with the preparation of SEC filings, including Forms 3, 4 and 5, 8-K, 10-Q, 10-K, S-8 and Proxy
  • Supporting attorneys and legal staff with information requests
  • Special projects as needed, including participation on committees and in departmental initiatives

Requirements:

  • Minimum four years' experience in a corporate paralegal role (in-house or law firm)

Core Competencies:

  • Extensive experience supporting board-related documents and functions
  • Strong Microsoft Office skills, including Word, PowerPoint, Excel and Outlook
  • Excellent attention to detail
  • Ability to prioritize, collaborate and work efficiently in a fast-paced environment
  • Comfortable communicating with directors and the most senior executives at the firm and their assistants
  • Strong writing, editing and verbal communication abilities, including correct punctuation, spelling and grammar

Preferences:

  • Familiarity with web-based software including iManage (document management) and Director's Desk (board of directors' portal)
  • Bachelor's degree and paralegal certificate

Pay Range:

$36.15-$60.25/hourActual base salary varies based on factors, including but not limited to, relevant skill, prior experience, education, base salary of internal peers, demonstrated performance, and geographic location.
