The Position: In this role, you will manage a variety of legal matters, offering counsel to clients, drafting agreements, conducting due diligence, and facilitating negotiations. You will be a key player in our team, dedicated to delivering outstanding legal solutions.

Key Responsibilities:

  • Manage various types of commercial real estate transactions, including acquisitions, dispositions, leasing, title and survey reviews, and financing for both landlords and tenants.
  • Examine title policies and ALTA surveys to ensure compliance with transaction requirements.
  • Draft and review initial documentation, secure necessary approvals, modify documents as needed, and coordinate the execution of documents.
  • Prepare correspondence related to claims, defenses, and disputes arising from agreements.
  • Negotiate and draft leases, amendments, purchase and sale agreements, letters of intent, deeds, etc., for both buyers and sellers.
  • Review and oversee agreements with developers, ensuring conditions are met prior to draw disbursement and developer payments.
  • Prepare documents associated with purchase and sale agreements, including due diligence processes, contingencies, title objections, survey and environmental reviews, as well as closing documents and wire transfers.
  • Conduct closings and manage post-closing documentation and administration.
  • Research, analyze, and interpret relevant state and federal laws and regulations affecting financial institutions, including the Truth in Lending Act, Real Estate Settlement Procedures Act, Electronic Fund Transfer Act, and others.

  • Strong analytical skills to identify, research, analyze, and communicate legal issues, assess potential risks, propose alternative actions, and provide sound recommendations.
  • Ability to manage multiple projects simultaneously, prioritize deadlines, and communicate clearly and professionally in a fast-paced environment.
  • Excellent interpersonal skills to effectively engage with internal and external stakeholders at all levels.
  • Outstanding communication, organizational, legal research, writing, and analytical skills.
  • Ability to identify legal issues and provide advice on complex regulatory matters.
  • Demonstrated strong work ethic and exceptional interpersonal skills.

Qualifications (Education / Experience):

  • J.D. from a top-tier U.S. law school.
  • Licensed to practice in California (additional state licenses are a plus).
  • 4+ years of experience as an attorney in a reputable law firm or in-house legal department.
  • Experience with financial institutions regulated by the NCUA, OCC, or state regulators is preferred.
  • Familiarity with design-build and commercial lending is ideal.
  • Experience in financial services is highly desirable.
