The Team

We are seeking a leader for the Exempt Organizations division at CZI, which is an integral part of our Legal and Grants Team, known as Team LeGiT. This team is pivotal in shaping and advancing CZI's strategy regarding tax-exempt entities. The Exempt Organizations division comprises legal professionals and compliance experts who provide essential guidance to various teams within CZI and its affiliates on applicable laws governing tax-exempt organizations, including federal, state, and local tax regulations. This role is crucial for supporting CZI's mission and operational objectives across a diverse network of partners and institutions.

The Opportunity

This position is at the Director level, reporting directly to CZI's General Counsel and serving as a key member of the leadership team. You will oversee the Exempt Organizations function, collaborating closely with scientists, educators, and innovators dedicated to addressing significant societal challenges. Your contributions will be vital to both CZI and Team LeGiT as a prominent organizational leader.

Key Responsibilities
  • Lead the Exempt Organizations division, requiring a comprehensive understanding of the Internal Revenue Code and related tax regulations applicable to 501(c)(3) and 501(c)(4) entities.
  • Structure, negotiate, and implement projects that involve launching innovative initiatives or collaborating with major institutions.
  • Provide strategic counsel on current and prospective initiatives, institutions, and partnerships, including governance and structuring advice.
  • Ensure adherence to legal standards by managing CZI's compliance programs, training, and guidance related to exempt organizations.
  • Oversee corporate legal matters.
  • Advise cross-functional teams to align with the organization's strategic goals and enhance collaborative efforts.
  • Proactively identify and address potential legal risks, engaging with internal stakeholders to resolve issues as necessary.
  • Stay informed on legal developments affecting tax-exempt organizations and lead the response to relevant changes.
  • Regularly interact with external partners, including negotiating and drafting complex collaboration agreements and significant transactions.
  • Manage a team of experts in exempt organizations law, corporate law, and compliance.
  • Collaborate within Team LeGiT and across CZI to develop efficient and scalable solutions.
Qualifications
  • Over 10 years of legal experience, particularly in addressing complex legal matters related to the establishment, operation, and management of major tax-exempt organizations and executing significant grants.
  • Experience in a law firm with a substantial exempt organizations practice is advantageous.
  • Proven experience negotiating intricate agreements with universities and other large philanthropic entities is beneficial.
  • Strong understanding of advanced concepts in corporate governance and entity structuring.
  • Demonstrated experience in leading teams and cross-departmental initiatives.
  • Background in managing compliance strategies, including the preparation and filing of 990 forms and ensuring proper delineation between charitable and non-charitable entities.
  • Exceptional drafting skills for corporate governance documents, grant agreements, shared services agreements, and collaboration contracts.
  • Excellent communication skills with the ability to articulate complex legal concepts to non-legal audiences.
  • A commitment to creating user-friendly, efficient, and auditable systems and processes.
  • A growth-oriented mindset coupled with humility and a mission-driven approach.
  • Juris Doctor degree required and active membership in at least one U.S. state bar, preferably California.
Compensation

The base salary range for this role is competitive and reflects the skills and experience of the candidate, with new hires typically starting at the lower end of the range to allow for growth over time. Compensation may vary based on geographical market conditions.
