The Team

We are seeking a leader for the Exempt Organizations division at the Chan Zuckerberg Initiative, which is an integral part of our Legal and Grants Team. This role is pivotal in developing and advocating for our strategy concerning tax-exempt entities. The Exempt Organizations division comprises legal professionals who provide essential guidance on compliance with federal, state, and local tax regulations affecting tax-exempt organizations. This function is vital in advancing our mission and operational objectives across a diverse network of partners and institutions.

The Opportunity

This position is at the Director level, reporting directly to the General Counsel and serving as a key member of the leadership team. You will oversee the Exempt Organizations function, collaborating with scientists, educators, and innovators as they tackle significant societal challenges. Your contributions will be crucial to both the Chan Zuckerberg Initiative and the Legal and Grants Team.

Key Responsibilities
  • Lead the Exempt Organizations division, requiring extensive knowledge of the Internal Revenue Code and related tax regulations applicable to 501(c)(3) and 501(c)(4) entities.
  • Negotiate and execute projects related to the establishment of new initiatives or partnerships with major institutions.
  • Provide strategic counsel on current and future initiatives, including governance and structural advice.
  • Ensure adherence to legal standards by managing compliance programs and providing training and guidance.
  • Supervise corporate legal work.
  • Advise cross-functional teams to align with the organization's strategic goals and facilitate collaborative efforts.
  • Identify and address potential legal risks proactively, engaging with internal stakeholders to resolve issues.
  • Stay informed on legal developments affecting tax-exempt organizations and lead responses to relevant changes.
  • Regularly engage with external partners, including negotiating and drafting complex collaboration agreements.
  • Manage a team of experts in exempt organizations law, corporate law, and compliance.
  • Collaborate within the Legal and Grants Team and across the organization to implement efficient and scalable solutions.
Qualifications
  • Over 10 years of legal experience, particularly in addressing complex issues related to the structuring and management of tax-exempt organizations.
  • Experience in a law firm with a strong exempt organizations practice is advantageous.
  • Proven track record in negotiating complex agreements with universities and philanthropic organizations.
  • Strong understanding of corporate governance and entity structuring principles.
  • Demonstrated leadership experience in managing teams and cross-functional projects.
  • Experience in overseeing compliance strategies, including the preparation and filing of 990 forms.
  • Exceptional drafting skills for governance documents, grant agreements, and collaboration contracts.
  • Excellent communication skills, capable of articulating complex legal concepts to non-legal audiences.
  • A commitment to creating user-friendly, efficient, and transparent systems and processes.
  • A growth-oriented mindset with a focus on humility and mission-driven values.
  • Juris Doctor degree and active membership in a U.S. state bar, preferably California.
Compensation
