Job Summary:

Toptierreps is seeking a highly skilled Corporate Associate or Counsel to join our team in a dynamic legal environment. As a key member of our corporate law team, you will have the opportunity to collaborate closely with top-tier clients and seasoned professionals, contributing to strategic business initiatives and fostering professional growth.

Key Responsibilities:

  • Assist in drafting and negotiating complex transaction documents, including mergers and acquisitions and venture capital transactions.
  • Provide expert advice on corporate law and transactional work, ensuring compliance with relevant laws and regulations.
  • Collaborate with cross-functional teams to drive business growth and development.
  • Develop and maintain strong relationships with clients, colleagues, and other stakeholders.
  • Stay up-to-date with industry trends and developments, applying knowledge to drive business success.

Requirements:

  • Minimum 7 years of experience in a law firm environment, specializing in corporate law and transactional work.
  • Proven track record in drafting and negotiating complex transaction documents.
  • Strong expertise in either M&A or Venture Capital transactions.
  • Excellent analytical and problem-solving skills, with a meticulous attention to detail.
  • Juris Doctor (JD) degree from an accredited law school and active bar membership in the state of practice (New York preferred).
  • Demonstrated ability to thrive in a fast-paced, collaborative team environment.
  • Exceptional communication skills, both written and verbal, with the ability to interact effectively with clients and colleagues alike.
