Position Overview: We are in search of a General Counsel (GC) to become an integral part of our team. The GC will play a crucial role within the organization, reporting directly to the Chief Legal Officer and engaging in vital corporate affairs and compliance matters. The ideal candidate will be a proactive individual with a strong desire to tackle challenges and resolve intricate legal issues. Success in this role requires the ability to thrive in a dynamic environment, coupled with exceptional communication and organizational skills, as well as a meticulous attention to detail and a passion for entrepreneurship.

Key Responsibilities:

The General Counsel will oversee the following functional areas:

  • Corporate Governance: Manage daily legal operations and provide counsel to the executive team on complex issues impacting the organization and the senior housing sector. Ensure adherence to corporate formalities and serve as the registered agent for the company.
  • Legal Department Management: Lead a team of two attorneys and three paralegals, providing direction, organization, and performance evaluations.
  • Stakeholder Engagement: Build collaborative relationships with various business units and provide expert legal guidance as necessary.
  • Support for Company Initiatives: Offer legal support on new technology implementations, internal policies, and data privacy efforts.
  • Litigation Oversight: Supervise outside counsel in litigation matters, including case strategy and budget management. Negotiate and draft settlement agreements and work closely with insurance brokers to resolve disputes.
  • Contract Management: Draft, review, and negotiate a variety of contracts, including vendor and licensing agreements.
  • Licensure Oversight: Manage the preparation of licensure and certificate of need applications for new locations, assisting the operations team with licensing and acquisition processes.
  • Transaction Support: Assist outside counsel in various transactions and financings related to senior housing assets.
  • Regulatory Compliance: Oversee responses to regulatory matters and lead internal investigations, identifying legal risks and assisting in mitigation efforts.
  • Policy Development: Contribute to the review and maintenance of company policies, procedures, and templates.
  • Training and Development: Stay informed on industry regulations and serve as a legal resource for staff, providing training on legal issues and company policies.

Qualifications:

  • Juris Doctor (JD) degree from an accredited institution with an active license to practice law in North Carolina.
  • A minimum of seven years of experience in business or corporate law, with a preference for in-house experience in the senior living industry.
  • Significant litigation experience is highly desirable.
  • Experience in regulated industries such as healthcare, insurance, or financial services is preferred.
  • Strong analytical, negotiation, and communication skills.
  • High ethical standards and a commitment to confidentiality and professionalism.
  • Proven ability to navigate complex legal and regulatory compliance issues.
  • Demonstrated success in building strong relationships with internal and external clients.
