Position Overview: We are in search of a General Counsel (GC) to become an integral part of our team. The GC will play a crucial role within the organization, reporting directly to the Chief Legal Officer and contributing significantly to corporate governance and compliance. We seek a proactive individual who is passionate about addressing challenges and navigating complex legal issues. The ideal candidate will excel in a dynamic environment, possess outstanding communication and organizational abilities, and demonstrate a meticulous attention to detail, along with a strong entrepreneurial spirit.

Key Responsibilities:

The General Counsel will be responsible for the following:

  • Corporate Governance: Manage daily legal operations and provide strategic legal advice to the executive team on intricate matters affecting the organization and the senior living industry. Ensure adherence to corporate formalities and serve as the registered agent for the company.
  • Legal Department Management: Lead and supervise a team of two attorneys and three paralegals, ensuring effective organization, direction, and performance evaluation within the Legal Department.
  • Collaboration with Stakeholders: Build collaborative relationships with various business units and provide expert legal guidance as required.
  • Support for Company Initiatives: Offer legal support for new technology implementations, internal policies, and data privacy and security initiatives.
  • Litigation Oversight: Manage relationships with external counsel in litigation and other legal disputes, focusing on case strategy, discovery, budgets, and invoices. Emphasize general liability, professional liability, and employment liability matters, while negotiating and drafting settlement agreements.
  • Contract Management: Engage in drafting, reviewing, and negotiating a wide range of contracts, including vendor and licensing agreements.
  • Licensure Oversight: Oversee the preparation of various licensure and certificate of need applications for new locations, assisting the operations team with licensing, delicensing, acquisition, and sale of facilities.
  • Transaction Management: Supervise and assist outside counsel in transactions and financings related to senior housing assets, acting as a liaison between external counsel and business units.
  • Regulatory Compliance: Lead responses to regulatory matters affecting company locations, conducting internal investigations and identifying legal risks while assisting the operations team with mitigation strategies.
  • Policy Development: Assist in reviewing, developing, and maintaining company policies, procedures, handbooks, and templates.
  • Training and Development: Stay informed on relevant industry regulations and laws, serving as a subject matter expert and providing training to staff on legal issues and policies.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school with an active license to practice in North Carolina.
  • A minimum of seven years of experience in business or corporate law, with a preference for candidates with in-house experience in the senior living sector.
  • Extensive litigation experience with government agencies, law firms, or corporations is highly desirable.
  • Experience in regulated industries such as healthcare, insurance, or financial services is preferred.
  • Exceptional analytical, negotiation, and communication skills.
  • High ethical standards with a commitment to confidentiality and professionalism.
  • Proven ability to navigate complex legal and regulatory compliance issues.
  • Demonstrated success in building strong relationships with internal and external clients.
