Job Summary

We are seeking an experienced attorney with a strong background in procurement and contract law to join our team as a Senior Counsel, Procurement and Contracts. The ideal candidate will have a minimum of 7 years of experience in negotiating complex procurement agreements, including software licenses, component sourcing agreements, hardware purchase agreements, professional services agreements, and other purchasing agreements.

Key Responsibilities
  • Prepare, negotiate, and manage various standard and non-standard contracts, including strategic component sourcing agreements, network hardware and consumer product purchasing agreements, software licensing agreements, consultant agreements, vendor service agreements, NDAs, amendments, and statements of work.
  • Manage and mentor a team of junior attorneys and non-attorneys to support business operations and Legal Department initiatives.
  • Provide counsel and guidance on contractual legal matters to all business levels, including acting as the first point of contact on matters of contract interpretation and preparing memoranda regarding contract terms and risk analysis for executive review.
  • Communicate new and/or modified contract terms and policies, and explain their practical implications, to affected internal teams.
  • Exercise independent judgment and discretion in matters of significance.
  • Work to establish and participate in processes that will create efficiencies for the legal department and business clients.
  • Regular, consistent, and punctual attendance may be required to work limited nights and weekends, or on variable schedule(s), as necessary.
  • Demonstrate excellent organization, communication, and people and time management skills.
Requirements
  • Law Degree from a Top Tier Law School.
  • In good standing with a state bar (preferably Pennsylvania).
  • 7+ years of experience in transactional/commercial law, including negotiation of complex software and professional services engagements. An ideal candidate would also have meaningful experience in employee benefits transactions.
  • Understanding of risk assessment and analysis within the context of a growing, innovative technology industry.
  • Ability to work effectively with senior management and operations personnel, simultaneously manage multiple projects, and meet deadlines with consistently high-quality work product.
  • Ability to effectively direct, manage, and develop outside counsel where needed.
  • Ability to work build, mentor, and lead an effective and business-oriented team of attorneys and non-attorneys.
  • Excellent negotiating, drafting, problem-solving, and communications skills.
  • Prior experience managing a team of legal professionals, strongly preferred.
  • Consistent exercise of independent judgment and discretion in matters of significance.
