About the Role

We are seeking a highly skilled Commercial Transactions Counsel to join our team at Compass. As a key member of our in-house legal team, you will play a critical role in advising on and negotiating commercial contracts, collaborating with various business teams, and providing business-focused legal advice.

Key Responsibilities
  • Draft, Review, and Negotiate Commercial Contracts: You will be responsible for drafting, reviewing, and negotiating a wide range of commercial contracts, including professional services agreements, master services agreements, nondisclosure agreements, license agreements, and technology hardware and software agreements.
  • Collaborate with Business Teams: You will work closely with various business teams, including operations, people & culture, growth, finance, and product and engineering, to advise on legal issues, approval processes, Compass policies and procedures, and business strategy.
  • Provide Business-Focused Legal Advice: You will provide business-focused legal advice and support on joint ventures and similar corporate transactions, as well as existing strategic initiatives, such as the Compass Concierge program.
  • Support Contract Lifecycle Management: You will support the continuous improvement of standard form agreements and legal processes, including contract lifecycle management, with an emphasis on efficiency and scalability.
Requirements
  • JD and Membership in Good Standing: You must have a JD and be a member in good standing of at least one state bar (NY or CA bar a plus).
  • Top-Tier Law Firm and/or In-House Experience: You must have 4+ years of top-tier law firm and/or in-house experience with a focus on corporate matters.
  • Excellent Analytical and Drafting Skills: You must have excellent analytical, consulting, drafting, and negotiation skills with the ability to make well-reasoned legal and business judgments and clearly explain complex ideas.
  • Experience with Contract Management Systems: Experience with SpotDraft (contract management system) is a plus.
  • Strong Organizational Skills: You must have detail-oriented with strong organizational skills, the ability to work independently, and manage several simultaneous projects under deadline pressure in a dynamic environment.
  • Team Player: You must be a team player with low ego who can effectively work with other attorneys and colleagues.
  • Exceptional Communication Skills: You must have exceptional written and verbal communication skills and an ability to clearly and simply explain complex ideas.
  • Experience with Privacy Laws: Experience with privacy laws, specifically CCPA, GDPR, GLBA, TCPA, and/or DNC is a plus.
  • Willingness to Learn: You must have a willingness to learn new areas of law, acquire new skills, and take on additional and/or new responsibilities within the team on an "as-needed" basis.
