Job Summary

We are seeking a highly skilled Senior Corporate Counsel to join our team at Grifols, S.A. as a key member of our legal department. The successful candidate will be responsible for drafting, negotiating, and processing contracts for our North American business units, specifically involving commercial, corporate, and real estate transactions.

Key Responsibilities
  1. Contract Management: Draft, review, and negotiate contracts related to industrial and manufacturing matters, real estate, R&D, and clinical trials.
  2. Lease Negotiations: Draft, review, and negotiate the leasing of retail and manufacturing sites.
  3. Litigation Management: Lead the management of litigation related to personal injury, real estate, product liability, and other general disputes.
  4. Corporate Transactions: Draft, review, and finalize corporate transactions, corporate governance, and other matters related thereto.
  5. Team Supervision: Supervise a paralegal and/or corporate counsel.
  6. Support to Deputy General Counsel: Support Deputy General Counsel with transactional matters, mergers and acquisitions, partnerships, joint ventures, and other duties as needed.
Requirements
  1. Strong Contract Drafting and Negotiation Skills: Excellent ability to issue spot and integrate legal advice with business goals.
  2. Teamwork and Communication: Ability to work well in a cross-functional team environment, as well as in a small team environment and become a productive and positive member of the legal team.
  3. Communication Skills: Strong verbal and written communication skills, including the ability to communicate concisely.
  4. Dispute Resolution: Effective communication skills necessary to resolve disputes and bring teams together to effectively solve problems and resolve disputes.
  5. Leadership: Ability to supervise a small team including a paralegal and/or corporate counsel.
  6. Industry Experience: Experience in the manufacturing and/or pharmaceutical industry is preferred, candidates must present the skills and aptitude to undertake the preparation and negotiation of complex agreements.
Education and Experience
  1. J.D. from an Accredited Academic Institution: Required.
  2. Admission to a State Bar: Required.
  3. Minimum Experience: Typically requires at least 8 years of total experience. A minimum of three (3) years of relevant transactional/general counseling experience in the industrial and/or manufacturing industry, and at least three (3) years of law firm experience related to general litigation is preferred.
Compensation and Benefits

The estimated pay scale for the Senior Corporate Counsel role based in California, is $205,000.00-$225,000.00 per year. Additionally, the position is eligible to participate in up to 30% of the company bonus pool. We offer a wide variety of benefits including, but not limited to: Medical, Dental, Vision, PTO, up to 5% 401(K) match and tuition reimbursement. Final compensation packages will ultimately depend on education, experience, skillset, knowledge, where the role is performed, internal equity and market data.

Occupational Demands

Work is performed in an office environment with exposure to electrical office equipment. Frequently sits for 6-8 hours per day. Repetitive hand movement of both hands with the ability to make fast, simple, repeated movements of the fingers, hands, and wrists. Occasionally walks and stands. Occasionally bends and twists neck. Light to moderate lifting and carrying objects with a maximum lift of 25lbs.
