Job Description

Job Title: Director of Legal Affairs

Job Summary:

We are seeking an experienced and strategic Director of Legal Affairs to oversee all legal aspects of our organization. The ideal candidate will have a deep understanding of legal principles, excellent leadership and communication skills, and the ability to collaborate effectively with senior management and external stakeholders.

Key Responsibilities:

  • Legal Strategy and Compliance: Develop and implement legal strategies that support the organization's mission and objectives. Ensure compliance with applicable laws, regulations, and industry standards. Monitor legal and regulatory developments that may impact the organization and recommend proactive measures.
  • Contract Management and Negotiation: Review, draft, and negotiate a wide range of contracts, agreements, and legal documents. Manage contract lifecycle from inception through execution and renewal. Provide guidance on contract interpretation and enforceability issues.
  • Risk Management and Litigation: Identify legal risks and develop strategies to mitigate them. Manage litigation and disputes, including coordinating with external counsel when necessary. Conduct investigations and respond to legal claims or regulatory inquiries.
  • Corporate Governance and Compliance: Advise on corporate governance matters and ensure compliance with corporate policies and procedures. Support the board of directors and senior management on governance issues and decision-making processes. Oversee corporate filings, registrations, and disclosures.
  • Intellectual Property and Data Privacy: Manage intellectual property portfolios, including trademarks, copyrights, and patents. Ensure compliance with data privacy laws and regulations, including GDPR and CCPA. Develop and implement policies and procedures for data protection and information security.
  • Team Leadership and Collaboration: Lead and mentor a team of legal professionals, providing guidance and support in day-to-day operations. Collaborate with cross-functional teams, including finance, HR, and operations, to support organizational goals and initiatives. Build and maintain relationships with external legal counsel, regulators, and other stakeholders.
  • Legal Training and Education: Develop and deliver legal training programs for employees on relevant legal issues and compliance requirements. Promote a culture of legal compliance and ethical behavior throughout the organization.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the Bar.
  • Minimum of 8-10 years of experience practicing law, with significant experience in corporate, nonprofit, or relevant sector.
  • Proven leadership experience managing a legal team and providing strategic legal advice to senior management.
  • Strong analytical and problem-solving skills, with the ability to make sound legal judgments.
  • Excellent written and verbal communication skills, including the ability to communicate complex legal issues to non-legal stakeholders.
  • Demonstrated ability to manage multiple priorities and work effectively under pressure.
  • Knowledge of nonprofit law, tax-exempt organizations, and regulatory compliance preferred.
