JOB OBJECTIVE: Deliver comprehensive legal services for the Texas Historical Commission (THC). Offer legal counsel to THC personnel managing various programs; draft and review communications, solicitation requests, contracts, program guidelines, and regulations. Operate with minimal supervision while exercising significant initiative and independent judgment.
ESSENTIAL DUTIES:
- Provide legal guidance regarding the management of federally and state-funded initiatives, including drafting and reviewing communications and solicitations such as requests for proposals, qualifications, grant applications, contracts, grant agreements, and amendments, as well as program implementation manuals and application guides.
- Conduct research and provide legal analysis on applicable state and federal laws and regulations relevant to THC programs.
- Evaluate contract performance issues, findings of noncompliance, and breach of contract situations, offering legal support and advice to programs on these matters.
- Participate in commission meetings, providing legal assistance to THC staff, committees, and commissioners.
- Research and draft legal memoranda addressing issues pertinent to THC programs.
- Attend and offer legal support as necessary during staff meetings, including briefings on grant awards and program implementation issues.
- Assist in administrative law matters, including agency rulemaking, public information requests, and compliance with open meetings.
- Act as a liaison with the Office of the Attorney General concerning litigation involving the agency, which includes preparing subpoenas, records, and documents for civil litigation, assisting in trial preparations, and representing the agency in court as appropriate.
- Serve as legal counsel for programs in administrative hearings, including drafting briefs, preparing witnesses for testimony, and representing THC at hearings.
- Draft, review, and finalize legal documents such as contracts, memoranda of agreement, grant funding agreements, and other legal correspondence necessary to fulfill agency objectives.
- Report to the THC Executive Director, coordinating with a designated member of the THC Executive Committee on identified issues. Maintain effective communication to keep the Executive Director and Commissioners informed about agency matters, especially those sensitive to external stakeholders or involving policy questions.
- Monitor state and federal legislation, assist with legislative matters, and provide written reports and testimony at legislative hearings.
- Advise Human Resources and management on interpreting, applying, and enforcing employment laws, rules, regulations, policies, and legal risks related to personnel matters.
- Provide counsel on ethical issues, including training, inquiries, and legal advice regarding ethics, standards of conduct, and conflicts of interest.
- Inform the agency about privacy-related laws and regulations affecting THC operations.
- Offer recommendations to ensure compliance with real estate laws and regulations impacting agency property ownership, management, and future acquisitions.
- Represent the agency in prelitigation matters before the Texas Workforce Commission, the U.S. Equal Employment Opportunity Commission, and the U.S. Department of Labor, including at administrative hearings and mediations.
- Advise on the registration of trademarks and copyrights, ensuring legal protection.
- Adhere to a structured work schedule with regular attendance.
- Follow all THC safety protocols and ethical requirements.
NON-ESSENTIAL DUTIES:
- Perform additional duties as assigned.
QUALIFICATIONS:
- Graduation from an accredited four-year college or university and an accredited law school with a LL.B. or J.D. degree and a license to practice law in the State of Texas.
- A minimum of three years of experience as a licensed attorney.
- Recent experience in contracts and administrative law.
- Experience in public presentations and the ability to collaborate with individuals at all levels of professional expertise within the agency's programs.
- A valid driver's license and an acceptable driving record.
- Willingness to travel up to 10% of the work period.
PREFER:
- Experience with federal and/or state grant programs.
- Extensive experience in drafting and reviewing contracts.
- Experience as an attorney in a governmental entity in Texas.
KNOWLEDGE, SKILLS, AND ABILITIES:
- Understanding of legal principles, practices, and proceedings.
- Familiarity with State of Texas procurement regulations.
- Effective verbal and written communication, interpersonal, organizational, and presentation skills.
- Strong critical thinking and legal research skills, including proficiency in computer-assisted research.
- Ability to provide excellent customer service to both internal and external stakeholders.
- Proficiency in operating personal computers with word processing, database, and spreadsheet software.
- Ability to prioritize workloads and exercise sound judgment in decision-making.
- Capacity to analyze problems, evaluate alternatives, and recommend effective solutions.
- Commitment to maintaining confidentiality and adhering to ethical obligations.
- Ability to work effectively under pressure and meet strict deadlines while maintaining attention to detail.
- Ability to adapt to change and deliver quality results in a timely manner.
REGISTRATION, CERTIFICATION, OR LICENSURE: Must possess or obtain a valid Driver's License and complete a Defensive Driving Course to operate state vehicles. Must hold a license to practice law in Texas.
ENVIRONMENT/PHYSICAL CONDITIONS: This position is located in a historic building serving as the agency's headquarters, with potential exposure to dust and allergens typical of standard business activities. The role is primarily sedentary but may involve walking, standing, and performing tasks requiring fine motor skills. Extended periods at a computer may be necessary, and occasional travel may be required.
