Position Overview

We are seeking a Chief Legal Officer to lead our Legal team in Holland, MI.

In this role, you will:

Provide direct support and oversight to a team of Corporate Counsel, addressing a wide range of corporate, commercial, employment, intellectual property, antitrust, and various legal matters. You will offer guidance to internal stakeholders at all levels concerning legal issues, including risk management and compliance. Your responsibilities will include reviewing, editing, and drafting necessary documents for the organization. You will collaborate closely with In-House Counsel to support our international business operations.

Key Responsibilities
  • Formulate and present strategies to streamline and execute the legal service function for the organization.
  • Manage, mentor, and develop a team of in-house Corporate Counsel and Analysts to ensure efficient and effective service delivery.
  • Identify best practices for corporate legal procedures to enhance the organization’s risk profile and meet business needs.
  • Communicate promptly about identified issues, status updates, and recommendations to the CFO and other executives to keep them informed and able to provide direction.
  • Draft, review, negotiate, and advise on contracts and agreements to facilitate the company’s commercial activities while ensuring compliance with applicable laws.
  • Research, develop, and maintain policies and positions on legal issues to guide various business units on legal and operational matters.
  • Ensure compliance with corporate governance and regulatory requirements in the United States and internationally.
  • Oversee the management of external legal counsel to ensure cost-effective and efficient utilization.
  • Assist in establishing, disseminating, and training compliance and policy updates to ensure all members are informed of the latest legal requirements.
  • Monitor litigation processes to mitigate potential risks to the organization.
  • Provide legal counsel to internal stakeholders to ensure adherence to legal standards.
  • Manage intellectual property rights and patents to safeguard the company’s innovations and assist product development teams in protecting trade secrets.
  • Perform additional tasks as needed to support legal and compliance functions.
Required Qualifications

Education

  • Juris Doctorate from an accredited law school.
  • Licensed and in good standing to practice law in the United States.

Work Experience

  • A minimum of ten years of relevant attorney experience, with a strong focus on corporate law.
  • At least seven years of supervisory experience is required.
Preferred Qualifications
  • Admission to practice law in Michigan is strongly preferred.
  • Ten years of in-house legal experience is desirable.
  • Fifteen years of attorney experience, with a focus on corporate law, is preferred.
  • Extensive knowledge in Corporate Governance, Product Liability, Antitrust, Employment, Contract, and Litigation laws.
  • Previous experience in developing legal team strategies and building legal teams is advantageous.
