Are you a skilled attorney looking to take your career to the next level? Do you have a passion for real estate and corporate transactions? We are seeking an experienced Assistant General Counsel to join our team and play a key role in our strategic transactional and capital deployment plans.

About the Role

The successful candidate will provide day-to-day counsel to our real estate and capital projects teams on executing land acquisitions and supporting permitting efforts for capital projects. They will also support our corporate development team in executing acquisitions, joint ventures, minority investments, and other corporate transactions.

Key Responsibilities

  • Provide legal diligence and process support for the full range of transactional activities, including acquisitions, divestitures, joint ventures, partnerships, minority investments, venture investments, and debt financings.
  • Advise on deal terms and structuring on both strategic transactions and real estate acquisitions and dispositions.
  • Ensure development of continuous improvement of and compliance with internal transactional policies and procedures.
  • Drive coordination and collaboration across the legal function in support of corporate transactions.
  • Enable consistency in documentation and approach to risk in corporate transactions.
  • Implement processes to streamline review of NDAs and other ancillary transaction documents.
  • Select and manage outside counsel and other vendors, including evaluating the quality and cost of services.
  • Lead and collaborate with cross-functional partners on complex projects to sustain and enhance transactional execution and risk management across multiple jurisdictions.

Requirements

  • 8+ years of experience in the practice areas relevant to these job responsibilities.
  • Private practice and in-house counsel experience.
  • Verifiable knowledge of real estate transactions, permitting processes, and corporate transactions (including acquisitions, joint ventures, and minority investments).
  • Strong preference for experience providing counsel on environmental legal issues.
