Job Summary

The Senior Legal Counsel will oversee all legal and compliance matters of the company, advising management on various departments, identifying risks, and offering advice and alternatives to mitigate risks. This position will also assist the President on other business development and investor relations matters.

Key Responsibilities

  • Ensure compliance with securities laws and regulations, including drafting and filing reports to the SEC.
  • Manage commercial, employee, and other litigation.
  • Advises HR on employee disputes.
  • Drafts, reviews, and negotiates commercial, clinical, and other contracts and agreements.
  • Supports key transactions, including financings, mergers, acquisitions, distribution agreements, and distributor terminations.
  • Assesses and manages the company's intellectual property portfolio, in conjunction with IP counsel.
  • Advises the President on corporate governance matters and manages general corporate matters.
  • Treats others with courtesy, sensitivity, and respect at all times.

  • Provides training, coaching, feedback, and recognition.

  • Serves as a role model to employees across the organization.

Qualifications

  • Education: Juris Doctorate required with admission to the Massachusetts Bar.
  • Experience: 8 years' experience in a law firm and in-house, with no less than 5 years of large law firm experience.
  • Specific Skills/Experience:
    • SEC filing experience.
    • Deep understanding of and ability to analyze financial statements.
    • Medical device/life science experience preferred.
  • Computer skills: Highly skilled in Microsoft Excel and PowerPoint.
  • Travel: 10%, including domestic and international.
  • Language Requirements: Fluent in English.
