About the Role

Velocity Vehicle Group is seeking a highly skilled and experienced Senior Corporate Paralegal to join our dynamic Law Department. As a key member of our team, you will play a crucial role in supporting our corporate governance, contract administration, mergers and acquisitions, and litigation efforts.

Key Responsibilities

Corporate Governance:

  • Maintain accurate and comprehensive corporate records, including books and minutes.
  • Draft and review board resolutions and other corporate documents.
  • Assist in creating and maintaining delegations of authority and other corporate governance documents.
  • Ensure accurate records of Tax ID and FinCen numbers for all entities.

Contracts:

  • Support the contract administration process, including drafting and reviewing agreements.
  • Maintain a detailed repository of executed agreements and contracts.
  • Assist in the negotiation and review of non-disclosure agreements (NDAs) and other contracts.

Mergers and Acquisitions:

  • Provide critical support during the M&A process, including due diligence and deal documentation.
  • Ensure comprehensive M&A deal documentation is up-to-date and accurate.

Law Department Operations:

  • Manage incoming service of process, ensuring proper tracking and forwarding.
  • Assist with tracking legal expenses and managing the Law Department's budget.
  • Maintain and regularly update the Corporate Entity Chart.
  • Contribute to the development and upkeep of the record retention policy, including financing agreements and critical documents.
  • Assist with quarterly audit processes.

Litigation:

  • Support the litigation hold process and general litigation matters as needed.
  • Maintain the quarterly litigation and reserving report.

Real Estate:

  • Assist with the maintenance of executed leases.
  • Support lease administration, including tracking important lease term dates.

Requirements

To be successful in this role, you will need:

  • 10 to 15 years of paralegal experience with a focus on corporate governance.
  • Experience with public companies is advantageous.
  • A demonstrated positive, can-do attitude with the ability to work effectively across various functions.
  • Notary certification is a plus.
