Recently, the firm has expanded into alternative asset management, emphasizing energy transition investments.

Regulatory Framework. As an SEC-registered broker-dealer, the firm executes securities transactions and operates as a registered investment advisor for its fund activities.

Position Summary. We are seeking a full-time General Counsel to serve as the primary legal advisor for the firm and provide transactional support. This role will involve handling a variety of legal matters, including confidentiality agreements, term sheets, engagement letters, investor agreements, and litigation issues. The General Counsel will also be responsible for training team members on legal documentation and managing relationships with external legal counsel.

This position offers significant visibility within the organization and the industry, requiring travel for client meetings and conferences. The General Counsel will also oversee relationships with major law firms representing Burnham or its clients in transactions.

Within nine months of joining, the General Counsel will assume the role of Chief Compliance Officer, overseeing the firm's regulatory obligations to FINRA, the SEC, and other relevant jurisdictions. This role will be supported by compliance consultants and external legal expertise as necessary.

Qualifications. Candidates should possess a minimum of 7 years of legal experience, ideally from a major law firm or an in-house role within a company engaged in capital markets. A Juris Doctor (JD) is required, with preference given to those with finance experience or an MBA.
