Position Summary

The Benefits Counsel will report to the Executive Counsel - Benefits and Executive Compensation within the Legal & Compliance Group. This role will primarily engage with legal, human resources, administrative operations, finance, and controllership functions. The focus will be on qualified retirement plans, including pension and 401(k) programs, as well as welfare benefit plans such as health, disability, and life insurance programs. Additionally, the position will provide legal guidance on executive compensation arrangements and fringe benefits.

Key Responsibilities

  • Manage legal matters related to the Company's benefit plans, ensuring compliance with relevant laws and regulations, including IRS, HHS, DOL, PBGC, and SEC requirements.
  • Advise on plan administration, fiduciary responsibilities, and legal considerations for benefit design modifications.
  • Provide tax expertise on Section 409A and other relevant benefit issues.
  • Draft and review plan documents, amendments, participant communications, and fiduciary committee charters and meeting minutes.
  • Support benefits-related aspects of business acquisitions, dispositions, and labor negotiations.
  • Oversee claims disputes and related litigation.
Qualifications

  • J.D. with a minimum of 5 years of comprehensive legal experience in employee benefit plans.
  • Strong knowledge of tax laws, ERISA, ACA, and other regulations pertinent to benefit plans and executive compensation.
  • Experience in conducting legal research related to employee benefits.
  • Proven track record in drafting benefit plan provisions and communications.
