Established in 2024, NFPA Global Solutions (NGS) is a separate fully-owned NFPA corporation dedicated to advancing safety by offering compliance solutions, digital products, and advisory services that are designed to advance fire, life, and electrical safety across the globe. NFPA Global Solutions will introduce new offerings via acquisitions and new businesses that extend beyond the traditional products and services offered by NFPA. NFPA Global Advisors, the first business within NFPA Global Solutions umbrella, was launched in March of 2024 to support governments and companies in implementing the NFPA Fire & Life Safety Ecosystem.


As the company embarks on an exciting phase of growth, we are looking for General Counsel to serve as the sole legal counsel to support all NGS legal matters. Together with other members of the executive team, the General Counsel will execute on the strategy and financial performance of the organization.


RESPONSIBILITIES:

•Manage the legal aspect of M&A activities (including due diligence & integration) and member of the investment committee.

•Responsible for general counsel matters and the relationship with the Board of Directors.

•Reviewing, drafting and negotiating services and consulting agreements, software licenses, and SaaS agreements in support of NFPA Global Solutions (NGS)product and service offerings.

•Reviewing and negotiating supplier/vendor information technology agreements, including software licenses, consulting services, and SaaS agreements.

•Developing template terms and conditions for sales and license agreements, API agreements, reseller agreements, and partner agreements, with a particular focus on SaaS and other cloud-based applications.

•Advising functional support teams, including IT, in connection with proposed purchases or licensing of information technology related products or services. Work closely with sales support teams to help achieve their business objectives while mitigating associated legal risks.

•Legal support to the HR function for labor and employment matters.

•Collaborating with operations and product development teams to review new product and service offerings in order to identify and mitigate legal risks associated with such offerings.

•Maintaining knowledge of developments in global, federal and state laws and regulations concerning data privacy, cybersecurity and artificial intelligence.


Requirements:

•BA/BS and JD degrees and state bar admission.

•20 + years of experience providing services for TIC and/or technology clients.

•Extensive experience in technology contracts, with a focus on cloud-based services and software licensing agreements, as well as information security agreements required.

•Experience with data protection and data security agreements and privacy laws and regulations, including GDPR, CPRA, and various state laws. IAPP credentials are a plus.

•Ability to write clearly and prepare professional communications.

•You have experience working with minimal supervision, with the ability to multi-task, assess business and legal risk in a focused and efficient manner, and prioritize workload efficiently and effectively.

•Experience with acquisitions, due diligence and integrations, outside of the US acquisitions a plus.

•Experience in professional services (e.g. consulting or engineering), compliance solutions (testing, inspection, certification) and/or digital products (SaaS, DaaS) a plus.

•International experience and/or serving customers in multiple global geographies preferred.

•Interpersonal communication skills with the ability to interact with various management levels.

•Knowledge of employment law.

•Ability to manage multiple tasks and adapt to a changing, fast-paced environment.

•Demonstrated ability to influence others through effective verbal and written communication.

•Ability to perform within a high pressure and time-sensitive environment.

•Develops and maintains effective relationships with business partners and cross-functional teams at all levels of the business.

•Demonstrates thorough understanding of all areas of responsibility and ability to present to all levels of executive leadership.

•Serves as trusted advisor to Executives and senior leaders to the business.
