As we expand our offerings beyond traditional products and services, we are seeking a General Counsel to act as the primary legal advisor for all legal matters pertaining to NGS.
Key Responsibilities:- Oversee the legal dimensions of mergers and acquisitions, including due diligence and integration processes, while serving on the investment committee.
- Manage general counsel responsibilities and maintain effective communication with the Board of Directors.
- Draft, review, and negotiate service agreements, consulting contracts, software licenses, and SaaS agreements to support NGS's product and service initiatives.
- Negotiate supplier and vendor agreements related to information technology, including software licenses and consulting services.
- Create template terms and conditions for sales and licensing agreements, API contracts, reseller agreements, and partnership agreements, with an emphasis on SaaS and cloud-based solutions.
- Provide legal guidance to functional teams, particularly IT, regarding the acquisition or licensing of technology-related products and services.
- Support the HR department on labor and employment legal matters.
- Collaborate with operations and product development teams to assess new offerings and identify potential legal risks.
- Stay informed on global, federal, and state laws and regulations concerning data privacy, cybersecurity, and artificial intelligence.
- Possession of a BA/BS and JD degrees, along with state bar admission.
- Over 20 years of experience in providing legal services for technology and TIC clients.
- Extensive background in technology contracts, particularly in cloud services and software licensing agreements, as well as information security agreements.
- Familiarity with data protection laws and privacy regulations, including GDPR and CPRA; IAPP credentials are advantageous.
- Strong writing skills and the ability to prepare professional communications.
- Experience working independently, managing multiple tasks, and evaluating business and legal risks effectively.
- Knowledge of acquisitions, due diligence, and integrations, especially outside the US, is a plus.
- Experience in professional services, compliance solutions, or digital products is preferred.
- International experience and engagement with diverse global markets are advantageous.
- Excellent interpersonal skills for interaction with various management levels.
- Understanding of employment law and its implications.
- Ability to thrive in a fast-paced, dynamic environment while managing multiple priorities.
- Proven ability to influence stakeholders through effective communication.
- Capacity to perform under pressure and within time-sensitive situations.
- Build and maintain strong relationships with business partners and cross-functional teams.
- Comprehensive understanding of responsibilities and ability to present to executive leadership.
