Job Summary (Primary function)

This position supports and oversees contracting operations for all functions within the Commercial Operations Department. The Contract Specialist provides operational contract management primarily to support the contracting needs of the commercial-focused units of Incyte's North American operations. The incumbent consults and collaborates with attorneys and business contract owners and is responsible for timely preparation of drafting, negotiation, and administration of contracts.

Incyte has a growing portfolio of drugs approved to treat a wide range of hematologic and solid tumor malignancies, as well as dermatological conditions. In light of this evolving portfolio, the responsibilities of this Specialist may change over time. This Specialist may support science-focused contracting in a back-up capacity.

Essential Functions of the Job (Key responsibilities)

Contract Reviews

Review and negotiate confidentiality agreements (CDAs), consulting agreements, Master Services Agreements, Statements of Work, and other contract documents, as assigned, in accordance with (1) direction and supervision of attorneys and (2) contracting guidelines approved by the Legal function.

Identify and escalate contract terms to the contract owners, attorneys, and other appropriate stakeholders.

Contract Administration / Operational Management

Identify and effectively communicate priorities and urgencies to applicable stakeholders.

Track and drive contracts to resolution, including identifying remaining contracting issues, identifying appropriate stakeholders to reach decisions, and convening meetings to drive efficient decision-making.

Serve as an expert in Incyte's contract management system and processes. Work closely within Legal and contract management system team to ensure contracts are properly managed in system and in conjunction with attorneys, develop enhancements, improvements and updates.

Track negotiated terms across agreements and identify potential updates to contracting guidelines. Propose updated contracting guidelines, as needed.

Partner with Legal and other colleagues, including but not limited to, Product Strategy, Commercial Operations, Market Access, Finance, and Procurement, to address and solve day-to-day contracting issues and proactively troubleshoot and implement short-term and long-term contract improvements and efficiencies.

Generate reports and similar analyses to communicate contracting trends, workload volumes, and similar information to inform long-term contracting enhancements.

Develop training materials and similar communications to drive efficiencies in the contracting process.

Liaison Responsibilities

Serve as liaison with counsel and contracting staff at key vendors and other third parties. Effectively interact with people at all levels within Incyte and third parties to negotiate contracts to completion and address other contracting issues.

Work with Incyte Compliance, Information Technology, Procurement, and other stakeholders (Privacy) to facilitate privacy, cybersecurity, and anti-corruption assessments for the benefit of US contracting operations.

Qualifications (Minimal acceptable level of education, work experience, and competency)

Bachelor's degree or equivalent years of experience required, paralegal certificate is a plus.

Minimum 3-5 years of contracting experience. Pharmaceutical industry experience is a plus, but not required.

Experience negotiating agreements, particularly Master Services Agreements and related Statements of Work.

Well-developed understanding of business objectives and legal impact of routine and complex contract provisions.

Experience working with contract management systems platforms preferred, but not required.

Strong written, oral communication, interpersonal, and organization skills.

Ability to work independently and in a team environment.

Ability to effectively prioritize workload and communicate priorities.

Interacts effectively and productively with colleagues and business partners.

Motivated to work in a fast-paced environment.

Ability to work and adapt in a complex, dynamic organization handling multi-faceted projects with tight timelines.

Appetite for learning new areas as our business evolves.
