Job Overview

BAE Systems, Inc. is on the lookout for a dedicated Senior Vice President of Legal Affairs and Chief Counsel. This pivotal role reports directly to the Senior Vice President and General Counsel, focusing on the company’s Electronic Systems Sector.

The primary work location for this position is Nashua, NH, with an option for exceptional candidates to work from Falls Church, VA, along with additional travel to Southern, NH. This role embraces a hybrid work model, balancing onsite collaboration with remote responsibilities.

This role involves proactively advising and delivering legal services to Sector leadership across a broad spectrum of business legal matters, including government, international and commercial contracts, personnel issues, real estate, licensing, intellectual property, mergers and acquisitions, litigation, environmental concerns, and compliance matters. The Chief Counsel will manage legal and business affairs at a senior level for the SVP & General Counsel, Sector President, and the Sector leadership team, while also serving as a trusted advisor on the strategic direction of the Sector.

Key Responsibilities

1. Serve as a legal advisor on governance and regulatory compliance issues, as well as non-financial risk management. Collaborate with the business to ensure adherence to international laws and federal and state regulations. Keep management informed of new legislation and government regulations that may impact operations. Develop and deliver various legal training programs for company personnel as needed.

2. Support the Sector organization, including the contracts function, in determining appropriate legal and business actions. Draft, review, and oversee the creation of a wide array of legal and contractual documents, including commercial, international, and government contracts, non-disclosure agreements, teaming agreements, acquisition and disposition agreements, leases, licenses, and purchase and sales agreements.

3. Act as a liaison between management and external legal counsel. Oversee and manage outside counsel, including budget management and dispute resolution negotiations. Represent the company in various interactions with federal, state, and local governments, agencies, and public interest groups.

4. Contribute to the development and management of the broader legal function within the organization and participate in global initiatives as appropriate. Build a high-performing team and share responsibility for self-development with immediate supervisors. Ensure that the legal department meets its objectives within the established budget.

5. Guarantee that the Sector and its business areas receive top-quality legal counsel that is thorough, thoughtful, creative, and precise.

6. Implement necessary measures to ensure compliance and ethical conduct in business transactions, safeguarding the company against potential claims and lawsuits.

7. Collaborate extensively with corporate legal functions, including employment & labor, litigation & investigations, ethics, contracts, M&A, international compliance, export control, and security.

8. Regularly establish Sector-level policies and procedures.

Qualifications

+ Juris Doctorate with a minimum of 15 years of relevant experience.

+ Preferred 15 years of management experience.

+ Strong analytical skills to address complex issues independently.

+ Excellent communication skills to influence and shape the image of a complex Program/Line of Business/Sector.

+ Extensive negotiation skills for high-level internal and external relationships.

+ Proven experience making significant contributions in an enterprise-level environment.

+ Background in establishing legal policies and procedures.

+ Project management skills focused on innovative solutions.

+ Ability to obtain Top Secret clearance.

Preferred Qualifications

+ Active TS Clearance.

+ Experience supporting the Department of Defense.
