Senior Corporate Paralegal Job Description

The Senior Corporate Paralegal is a key member of our team, responsible for providing high-level legal support on a variety of tasks, focusing on corporate matters. This includes factual and legal research and analysis, drafting and editing routine correspondence and legal documents, entity formation and corporate governance documents, compiling information, handling document review projects, and preparing other documentation, statistics, charts, or graphs as needed.

Responsibilities
  • Perform an extensive amount of transactional work, such as reviewing, drafting, organizing, and summarizing agreements, resolutions, and other legal documents, as required by attorneys.
  • Perform UCC searches and filings, document reviews and productions, searches public records, performs electronic filing with agencies, electronic searches of public records, performs manual legal research and cite checking, and manages due diligence.
  • Assist with preparation and filing of securities filings, including Form D, Blue Sky, and EDGAR filings.
  • Assist with mergers and acquisition transactions, corporate contract administration, maintenance of corporate minute books, and coordination of corporate financing transactions.
  • Prepare and file formation/incorporation documents, foreign qualifications, mergers, conversions, and IRS filings, maintain corporate records, and assist in drafting corporate minutes.
  • Ensure that files, documents, closing books, minute books, and other information are organized appropriately.
  • Interact with various outside entities, including clients, governmental agencies, and officials, courts, corporations, and other law firms to gather information.
  • Demonstrate a strong work ethic and a commitment to professionalism.
  • Handle a high volume of work with minimal supervision.
Qualifications
  • Associates and/or Bachelor's degree in any field preferred; at least 8 years of corporate paralegal experience required.
  • Relevant expertise in a legal or corporate environment helpful but not required.
  • Must possess superior digital proficiency with MS Office software with a commitment to technological growth.
  • Must multitask and prioritize a demanding workflow in a deadline-driven environment.
  • Must effectively communicate with others by obtaining and sharing information responsibly and in a clear, concise, and timely manner.
  • Must exhibit personal accountability, attentiveness to detail, and a disciplined and conscientious approach to completing assignments.
  • Must apply critical thinking and sound judgment to solve problems.
  • Must be able to handle confidential information with discretion and accept responsibility for producing work that is consistently complete, timely, effective, and accurate.
  • Must conduct oneself in a highly professional and reliable manner; must exhibit confidence, integrity, and composure in all professional interactions.
  • Must engage cooperatively with others to achieve shared goals and objectives.
  • Must exhibit an excellent presence and demonstrate integrity and professionalism in implementing the Firm's client service standards.
