Job Summary

We are seeking a highly experienced and skilled Senior Corporate Counsel to join our team as our General Counsel / VP Legal. As a key member of our executive team, you will play a critical role in guiding our company through its growth phase and ensuring that we maintain a strong and compliant legal foundation.

Key Responsibilities

  1. Legal Advisory: Provide strategic legal advice to our executive team on all aspects of corporate law, including corporate governance, intellectual property, commercial contracts, liability and insurance issues, employment law, and compliance matters.
  2. Corporate Finance and Securities: Advise on corporate finance and securities law matters, including preparing SEC filings such as Forms 10-K, 10-Q, 8-K and S-8, Proxy Statements, and Section 16 reports.
  3. Outside Counsel Management: Manage relationships with outside counsel and lead contract and other negotiations with outside parties.
  4. Legal Proceedings: Advocate on our behalf in legal proceedings and oversee IP and litigation docket.
  5. Company Documents: Organize and maintain company legal documents and oversee M&A and strategic corporate initiatives.
  6. Employment Law: Advise the HR team on federal, multi-state, and international employment law and advise management and staff on legal issues related to programmatic initiatives.
  7. Data Privacy and Security: Oversee data privacy and security program, training, and compliance and manage the organization's insurance portfolio and intellectual property portfolio.

Qualifications

  1. Extensive Experience: Extensive experience practicing law, both at a top-tier law firm and a technology company.
  2. SEC Reporting: Strong substantive experience with SEC reporting ('33 and '34 Act) and securities laws.
  3. Communication Skills: Excellent communication and presentation skills with a team-oriented approach.
  4. Judgment and Business Acumen: Exceptional judgment and strategic business acumen.
  5. Legal Risk Management: Comfortable anticipating legal risk and making high-stakes decisions.
  6. Business Ethics: High level of business ethics and problem-solving capability.
  7. Relationship Management: Track record of maintaining productive relationships with internal and external stakeholders, including executive team, Board, regulators, and strategic partners.
  8. Negotiation and Communication Skills: Strong negotiation and communications skills.
  9. Education and Bar Admission: Juris Doctor degree from an accredited law school and Bar admission in good standing, with a preference for admission in California.

  1. Experience in In-House Legal: Experience creating in-house legal team in a technology startup.
  2. Financial Management: Keen understanding of the financial management of a corporate department.
  3. Public Company Experience: Early public company capital markets experience.
  4. Passion for Robotics: Passion for local business, logistics, and robotics.
  5. Global Workforce Experience: Working familiarity with a multi-national workforce and manufacturing.

Compensation and Benefits

We offer a competitive compensation package, including a salary range of $250K - $300K, and a comprehensive benefits program.
