Job Summary:

The Corporate Contracts Team seeks an experienced attorney in technology transactions to help support Gilead's information technology group and other Gilead groups entering complex technology transactions.

Responsibilities:
  • Drafts, reviews, and negotiates agreements, including SaaS and other hosted services agreements, software license agreements, managed services agreements, master service agreements, consulting agreements, confidentiality and non-disclosure agreements, and other commercial transactional agreements.
  • Assists client groups on various legal projects, including advising on data security, privacy, and AI issues, identifying risk and generating risk/risk mitigation memos, reviewing contracts, and advising on business risk in complex statements of work.
  • Develops and improves templates and procedures to drive efficiencies in the legal review process.
  • Analyzes non-standard, complex problems based on experience and makes recommendations on how to proceed.
  • Timely advises clients and other attorneys on higher risk issues and proposes alternative legal terms and solutions.
  • Promptly escalates legal issues to a higher level where appropriate.
Requirements:
  • Juris Doctorate from a nationally accredited law school.
  • Admission to the California state bar, registration as in-house counsel, or ability to gain admission or registration within 90 days.
  • 8-10 years law firm or in-house relevant experience supporting IT with reviewing, drafting, and negotiating a high volume of agreements.
  • Strong client service orientation and dedication to operational excellence.
  • Solid understanding of hosted services agreements, information technology issues, and privacy law.
  • Ability to manage and serve internal client groups within the company.
What We Offer:

Gilead Sciences, Inc. offers a competitive salary range of $221,000 to $286,000, depending on experience, qualifications, and geographic location. This position may also be eligible for a discretionary annual bonus, discretionary stock-based long-term incentives, paid time off, and a benefits package, including company-sponsored medical, dental, vision, and life insurance plans.
