Purpose:


Supporting Effective Corporate Governance

As a key member of the Federal Home Loan Bank of San Francisco's governance team, you will assist the Chief Legal Officer and Corporate Secretary, as well as the Deputy General Counsel, in fulfilling their responsibilities. Your expertise will be instrumental in maintaining the highest standards of corporate governance for the Bank, its Board of Directors, and committees.

Responsibilities:

  • Serving as a trusted advisor to senior executives and Board members on sensitive and confidential governance matters.
  • Overseeing the organization and recordkeeping of corporate records related to Board meetings and materials.
  • Coordinating projects, conducting research, analyzing data, drawing conclusions, and communicating findings and recommendations effectively.
  • Providing leadership, initiative, innovation, and experienced-based judgment in effective corporate governance through the execution of the Assistant Corporate Secretary role.

Miscellaneous Corporate Governance Activities:

  • Performing other functions associated with the responsibilities of an assistant corporate secretary, including preparing and maintaining certificates of incumbency, delegations of authority, and Board resolution certifications.
  • Managing the Board's self-assessment process and other governance programs.
  • Developing and coordinating training programs for directors and senior executives.
  • Administering the Bank's Board communication platform, including publishing agenda books, administering surveys and questionnaires, and maintaining/updating Board resource materials.

Requirements:

  • A bachelor's degree and at least five years of experience in preparing corporate minutes for a financial institution or regulated entity, or an equivalent combination of education and experience.
  • Knowledge and understanding of corporate governance practices.
  • Excellent writing and proofreading skills, with high proficiency and attention to detail, and excellent oral communication skills.
  • The ability to maintain confidentiality required by law and best practices in carrying out Board governance functions.
  • Familiarity with applicable software, such as Microsoft Office Suite, and information retrieval systems, with the ability and willingness to continue mastering relevant new software.

Salary Range: $185K - $200K
