Job Summary

We're seeking a highly experienced General Counsel to lead our legal function and provide strategic guidance to our executive team. As a key member of our leadership team, you'll be responsible for overseeing all legal matters, including corporate governance, intellectual property, commercial contracts, and compliance. If you have a passion for technology and a knack for navigating complex legal issues, we want to hear from you.

Responsibilities

As our General Counsel, you'll be responsible for:

  1. Providing strategic legal guidance to our executive team on all matters related to corporate governance, intellectual property, commercial contracts, and compliance.
  2. Overseeing the development and implementation of our company's legal strategy, including the negotiation and execution of contracts.
  3. Managing relationships with outside counsel and ensuring that our company's legal needs are met in a timely and cost-effective manner.
  4. Leading contract and other negotiations with outside parties, including vendors, partners, and customers.
  5. Advocating on our company's behalf in legal proceedings, including litigation and arbitration.
  6. Organizing and maintaining our company's legal documents, including contracts, agreements, and other relevant materials.
  7. Overseeing our company's intellectual property portfolio, including patents, trademarks, and copyrights.
  8. Providing guidance on employment law and compliance matters, including employee handbooks, policies, and procedures.
  9. Supporting the development of training materials, guidance documents, and relevant employee and contractor training.
  10. Managing our company's insurance portfolio and ensuring that we have adequate coverage for all risks.

Qualifications

We're looking for a highly experienced General Counsel with a strong background in corporate law, intellectual property, and compliance. If you have:

  1. Extensive experience practicing law, both at a top-tier law firm and a technology company.
  2. Strong substantive experience with SEC reporting ('33 and '34 Act) and securities laws.
  3. Excellent communication and presentation skills with a team-oriented approach.
  4. Exceptional judgment and strategic business acumen.
  5. Comfortable anticipating legal risk and making high-stakes decisions.
  6. High level of business ethics and problem-solving capability.
  7. Track record of maintaining productive relationships with internal and external stakeholders, including executive team, Board, regulators, and strategic partners.
  8. Strong negotiation and communications skills.
  9. Over 10 years of prior experience at a top law firm or in-house, including at least 5-years of prior in-house counsel experience.
  10. Juris Doctor degree from an accredited law school.
  11. Bar admission in good standing, with a preference for admission in California.
