Job Summary

CompIntelligence, Inc. is seeking a highly skilled Stock Plan Administrator to join our team. As a key member of our organization, you will be responsible for the administration of employee, executive, and Board of Director stock programs.

Key Responsibilities
  • Program Administration
    • Manage the ongoing administration of employee, executive, and Board of Director stock programs, including planning and project managing implementation of new programs.
    • Assist in the preparation of reports for management and the Compensation Committee of the Board regarding equity plans and grant analysis.
  • Equity Utilization and Reporting
    • Prepare equity utilization projections and supporting analysis (i.e., burn rate, overhang, etc.).
    • Provide equity data from Fidelity for SEC filings, including Proxy and Section 16 reports.
  • Stock Administration and Compliance
    • Manage monthly, quarterly, and yearly equity grant and vesting processes (RSUs, performance, and NQ stock options).
    • Direct the company's transfer agent in matters related to stock programs, such as plan reserve maintenance, restricted stock issuances, and book entry accounts and releases.
  • Communication and Reporting
    • Develop and deliver timely communication related to stock awards, including grant notification, terms, and vesting events.
    • Provide reports from systems to meet internal and external requirements.
  • Process Improvement and Automation
    • Partner with Compensation, HRIS, and Fidelity to develop new reports and internal review processes as needed.
    • Develop and enhance automation in all areas of stock administration for streamlining of processes.
  • Audit and Compliance
    • Serve as primary contact for audit requests and assist in establishing, documenting, and maintaining control procedures associated with stock plan administration.
    • Provide analysis and reconciliation at accounting end periods.
  • Section 16 Filings and Monitoring
    • Generate Section 16 filings and monitor 10b5-1 and preclearance activity.
  • Employee Support
    • Respond to executive and employee equity plan questions.
Requirements
  • 12+ years of experience in stock administration, including stock options, restricted stock units, and/or performance-based stock awards.
  • Excellent communication skills and ability to communicate with all levels of the organization.
  • Expertise in Microsoft Excel, Word, and other Microsoft Office applications.
  • Able to work independently, handle multiple priorities, and apply good judgment.
  • Meticulous attention to detail and accuracy.
  • Familiarity with China SAFE a plus.
  • Experience with Fidelity desired.
  • Preferred Education Background:
  • Certified Equity Professional certification preferred.
  • College degree preferred.
