Corporate Paralegal Opportunity

Ascension Global Staffing & Executive Search, a leading national recruiting firm, is seeking a skilled corporate paralegal to join our team. As a trusted partner to our clients, we pride ourselves on delivering exceptional talent solutions that drive business success.

Key Responsibilities:
  • Assist attorneys in preparing and drafting corporate documents, including agreements, contracts, resolutions, and memoranda.
  • Conduct research on relevant laws, regulations, and legal articles to ensure compliance and accuracy.
  • Maintain and organize corporate records, minute books, and stock records with precision and attention to detail.
  • Support due diligence efforts and document management during corporate transactions, ensuring seamless execution.
  • Coordinate and communicate with internal and external stakeholders, including clients, regulators, and third-party entities, to facilitate effective collaboration.
  • Monitor changes to laws and regulations that may impact the company and its operations, providing proactive guidance and support.
  • Ensure compliance with corporate governance policies and procedures, maintaining a high level of integrity and professionalism.
  • Prepare and file corporate documents, such as annual reports, with relevant government agencies, meeting deadlines and requirements.
  • Provide general legal department administration support and perform other duties as assigned, demonstrating adaptability and a willingness to learn.
Requirements:
  • Bachelor's degree and/or paralegal certificate from an accredited institution.
  • Minimum 3 years of experience as a paralegal in a corporate legal department or law firm setting.
  • Strong knowledge of corporate law principles and procedures, with a focus on compliance and accuracy.
  • Proficiency in legal research and document management software, with the ability to learn new tools and systems.
  • Excellent communication and interpersonal skills, with the ability to work effectively with diverse stakeholders.
  • Ability to work independently and as part of a team in a fast-paced environment, prioritizing tasks and managing multiple projects.
  • Attention to detail and strong organizational skills, with a focus on maintaining high-quality work products.
Preferred Qualifications:
  • Experience with mergers and acquisitions, securities offerings, or corporate governance, with a deep understanding of complex transactions and regulatory requirements.
  • Familiarity with electronic discovery and litigation support tools, with the ability to analyze and manage large datasets.
  • Prior experience with contract management systems, with a focus on negotiation, drafting, and execution.
Work Environment:

This is a full-time, temporary opportunity with a competitive salary and benefits package. The ideal candidate will be based in Miami, FL, with the ability to commute to our office location.
