Job Title: Corporate Paralegal

Location: Miami, FL

Salary: Up to $120,000 per year

Job Summary

We are seeking a highly skilled Corporate Paralegal to join our team at SourcePro Search. The successful candidate will be responsible for providing support to our corporate transactions team, including entity formation, document preparation, and research.

Responsibilities
  • Form and merge entities, ensuring compliance with relevant laws and regulations.
  • Prepare and file documents with state and federal agencies, working with outside agents as needed.
  • Assist with corporate transactions, including mergers and acquisitions, capital market transactions, and venture capital investments.
  • Prepare and revise organizational charts, ensuring accuracy and compliance.
  • Maintain closing checklists and documents for corporate transactions.
  • Retrieve public records and perform research on UCC and business organization laws.
  • Prepare and file UCC financing statements, ensuring timely and accurate completion.
  • Perform UCC/lien searches and coordinate document retrieval from government agencies.
  • Draft analyses and maintain corporate minute books, ensuring accuracy and compliance.
Requirements
  • 3-5 years of corporate and transactional experience.
  • Superior organizational skills and ability to handle high-volume, fast-paced work.
  • Attention to detail and ability to complete tasks in a timely manner.
  • Initiative and ability to work independently.
  • Motivated individual with a passion for working in the corporate arena.
  • Proficient in Microsoft Office suite.
  • Experience with corporate transactional work, including mergers and acquisitions, capital market transactions, and venture capital investments.
