Job Summary:

The Corporate Paralegal will play a key role in assisting with corporate governance, compliance, and transactional matters. This position involves supporting the legal team with corporate filings, maintaining legal records, and conducting research related to mergers, acquisitions, contracts, and other business operations.


Key Responsibilities:

  • Assist with the preparation, filing, and management of corporate documents, including incorporation, annual reports, and corporate resolutions.
  • Maintain and organize corporate records, minute books, board resolutions, and other corporate governance materials.
  • Support in drafting, reviewing, and finalizing contracts, agreements, and other legal documents.
  • Conduct legal research and due diligence related to mergers, acquisitions, and other corporate transactions.
  • Assist with managing corporate compliance requirements, ensuring adherence to federal, state, and local regulations.
  • Coordinate with internal departments and external parties regarding legal matters, including shareholders, outside counsel, and regulatory bodies.
  • Prepare and file documents with regulatory agencies (e.g., SEC, state authorities).
  • Support the legal team in managing the corporate calendar, tracking deadlines, and ensuring timely submission of required documents.
  • Provide support in the management of intellectual property portfolios, including trademarks and patents.
  • Assist in corporate transactions such as mergers, acquisitions, and divestitures, including coordinating closing activities and maintaining transaction records.
  • Provide general administrative support to the legal team, including organizing files, scheduling meetings, and managing correspondence.


Qualifications:

  • Bachelor’s degree or Paralegal certification required.
  • Minimum [X] years of experience as a corporate paralegal, preferably in a corporate legal department or law firm.
  • Strong understanding of corporate law, governance, and compliance matters.
  • Experience with corporate filings, transactional work, and legal research.
  • Excellent organizational skills and attention to detail.
  • Strong communication and interpersonal skills, with the ability to interact professionally with stakeholders at all levels.
  • Proficiency in Microsoft Office Suite and legal research databases (e.g., Westlaw, LexisNexis).
  • Ability to prioritize and manage multiple tasks in a fast-paced environment.
  • Knowledge of SEC filings and corporate compliance is a plus.
