About the Role:

As a pivotal member of Axon Enterprise, you will be responsible for steering the legal and compliance functions, particularly in the realms of mergers and acquisitions (M&A) and securities law.

Key Responsibilities:
  • Support the Chief Legal Officer (CLO) in overseeing Axon's legal and compliance divisions and legal operations.
  • Formulate and execute the legal framework for M&A initiatives that align with the broader business and legal goals of the organization.
  • Provide expert counsel on securities regulations and reporting obligations.
  • Collaborate with the CLO to engage with the Board, fostering strong governance practices.
  • Lead thorough due diligence efforts for prospective transactions.
  • Evaluate and mitigate legal risks, ensuring comprehensive assessments of regulatory, compliance, intellectual property, contractual, and other legal factors.
  • Oversee external legal advisors as necessary for specialized due diligence and transaction assistance.
  • Work closely with the Strategy & Corporate Development team to guide the business through intricate M&A processes.
  • Prepare and deliver legal insights and updates regarding M&A activities to the executive leadership and board.
  • Maintain open lines of communication with both internal and external stakeholders to ensure clarity and alignment.
  • Coordinate with cross-functional teams to facilitate smooth transaction execution and integration, offering guidance on legal matters related to M&A.
  • Draft, review, and negotiate documents pertinent to transactions, ensuring compliance with applicable laws and safeguarding the company’s interests.
  • Advise on adherence to securities laws, antitrust regulations, and other relevant requirements.
  • Engage with regulatory bodies and manage necessary filings or approvals.
  • Provide legal support for post-merger integration, including contract assignments, employee transitions, and regulatory compliance, addressing any legal challenges that arise during integration.
  • Perform additional duties as assigned.
Qualifications:
  • J.D. from an accredited law school with exemplary academic performance.
  • Active admission to a State Bar in the United States.
  • At least 10 years of experience in a prestigious law firm or in-house legal department of a public company.
  • Proven expertise in M&A, securities law, and corporate governance.
  • Significant experience managing complex M&A transactions, ideally in the technology or financial services sectors.
  • Exceptional skills in writing, analysis, negotiation, communication, strategic thinking, and presentation.
  • Deep understanding of corporate and securities laws, regulations, and industry standards.
  • Strong leadership capabilities, meticulous attention to detail, problem-solving skills, and organizational abilities.
  • Demonstrated success in collaborative team environments, particularly in fast-paced settings.

Note: Benefits may vary based on employment type and location.

Compensation at Axon includes base salary, bonuses, and stock options. The starting base salary for this position ranges from USD 240,000 to USD 360,000, depending on various factors such as experience, skills, and market conditions.
