Your Impact:

As the Senior Vice President of M&A and Securities, you will play a pivotal role in guiding public companies through intricate mergers and acquisitions, joint ventures, and strategic transactions. What You'll Do:

Reports to: Chief Legal Officer
Key Responsibilities:

  • Support the CLO in overseeing Axon's legal and compliance departments.
  • Develop and execute a comprehensive legal strategy for M&A activities that aligns with the company’s business objectives.
  • Provide expert advice on securities regulations and reporting obligations.
  • Collaborate with the CLO to enhance governance practices within the Board.
  • Lead thorough due diligence processes for prospective transactions.
  • Evaluate and mitigate legal risks, considering regulatory, compliance, intellectual property, and contractual factors.
  • Manage external legal advisors for specialized due diligence and transaction assistance.
  • Work closely with the Strategy & Corporate Development team on complex M&A initiatives.
  • Prepare and deliver legal assessments and updates regarding M&A activities to the executive leadership and Board.
  • Ensure effective communication with stakeholders, fostering transparency and alignment.
  • Collaborate with cross-functional teams to facilitate smooth transaction execution and integration, providing legal guidance on M&A matters.
  • Assess legal risks and ensure compliance with relevant laws and regulations.
  • Draft, review, and negotiate transaction-related agreements to safeguard the company’s interests.
  • Advise on compliance with securities laws, antitrust regulations, and other legal requirements.
  • Engage with regulatory bodies and manage necessary filings or approvals.
  • Offer legal support during post-merger integration, addressing contract assignments, employee transitions, and compliance issues.
  • Perform additional duties as assigned.

What You Bring:
  • J.D. from an accredited law school with exceptional academic credentials.
  • Admission to a State Bar in the United States.
  • A minimum of 10 years of experience in a prestigious law firm or in-house at a public company.
  • Proven expertise in M&A, securities law, and corporate governance.
  • Extensive experience managing complex M&A transactions, ideally in the technology or financial services sectors.
  • Exceptional writing, analytical, negotiation, communication, strategic thinking, and presentation skills.
  • Strong knowledge of corporate and securities laws, regulations, and industry standards.
  • Demonstrated leadership abilities, attention to detail, problem-solving skills, and organizational capabilities.
  • Ability to thrive in a collaborative, fast-paced, and dynamic environment.
