Daiwa Capital Markets America Inc. is a leading financial services firm that provides a range of services to institutional clients. Our team is seeking an experienced Associate General Counsel to join our Legal department.

Job Summary:

The Associate General Counsel will provide legal support to our sales and trading teams, with a focus on fixed income and equities. This role will involve negotiating trading agreements, collaborating with business and compliance teams, and staying up-to-date on relevant laws and regulations.

Key Responsibilities:

  • Negotiate and draft trading agreements, including Master Repurchase Agreements and ISDA Master Agreements.
  • Collaborate with business, compliance, and credit/risk teams to facilitate new and existing business.
  • Provide advice on transactional documentation and stay up-to-date on relevant laws and regulations.
  • Advise on international and domestic laws and regulations issued by the SEC, CFTC, FINRA, and other regulatory entities.
  • Provide guidance on new products and businesses.
  • Provide back-up sales and trading legal coverage to fixed income, repo, and securities lending desks.

Requirements:

  • 7+ years of corporate legal experience and/or previous in-house experience.
  • Top academic and professional credentials.
  • Experience with financial services clients, ideally institutional broker-dealers in cross-border context.
  • Admission to New York bar in good standing.
  • Demonstrated ability to handle matters independently.
