Position: Chief Legal Officer & Corporate Secretary

Location: Washington, DC

Compensation: $350,000 - $450,000 Annually + Sign-on Bonus, Annual Merit Increases, Discretionary Bonuses, and Comprehensive Benefits

Employment Type: Full-time, On-site

Work Schedule: Monday to Friday, 8 AM to 5 PM (40 hours per week)

Essential Qualifications:

  • Juris Doctorate from an accredited institution.
  • Licensed to practice law.
  • A minimum of 12 years of legal experience.
  • At least 8 years in advocacy or a related field.
  • Proven expertise in the chemical or related sectors.

Role Overview:

  • This role is pivotal in safeguarding the organization's legal interests and ensuring adherence to relevant federal, state, and local regulations. The Chief Legal Officer will supervise the Legal Services team and act as the principal legal advisor to the Board of Directors, including the management of the Executive Committee and Board functions. This position reports directly to the President and Chief Executive Officer.

Key Responsibilities:

  • Formulates and implements legal strategies, encompassing both proactive and defensive litigation, while collaborating with technical and policy teams to assess regulations and legislation that may affect the chemical industry.
  • Manages legal risks, including compliance with political and lobbying regulations, and oversees contractual agreements with external parties.
  • Ensures corporate governance is upheld, including Board and Committee processes, and serves as the Corporate Secretary for the organization.
  • Acts as a senior management team member, coordinating efforts across various departments and divisions.
  • Monitors organizational compliance with applicable laws, including antitrust regulations.
  • Functions as the Chief Compliance Officer, overseeing the Code of Ethics and Conduct program.
  • Manages the selection, retention, and evaluation of external legal counsel.
  • Supervises the Legal Services department, setting performance objectives, conducting evaluations, and promoting professional development for team members.
  • Directs the preparation of the annual legal operational budget.
