Key Responsibilities:
  • Draft, review, analyze, and negotiate a diverse array of standard transactional agreements, encompassing substantial, multi-year commercial sales and service contracts with original equipment manufacturers (OEMs); terms and conditions for purchase orders; supply agreements; distribution and independent sales representative contracts; confidentiality agreements; and various other commercial contracts.
  • Provide internal stakeholders with advisory support on contractual matters across a spectrum of issues.
  • Act as the primary liaison for internal stakeholders concerning contractual inquiries.
  • Oversee and manage the enterprise contract management system.
  • Assist in developing processes and policies that enhance the efficiency of the internal contracting workflow.
  • Support sensitive projects as needed.
  • Facilitate contracts training for internal stakeholders and business partners in collaboration with the Associate General Counsel.
  • Align with the company's business strategies by ensuring adherence to corporate policies.
  • Contribute to the company's sustainability and ESG initiatives, including responding to third-party surveys.
Qualifications and Skills Required:
  • Juris Doctor degree with 3-5 years of experience in negotiating, reviewing, and drafting commercial contracts within the industrial manufacturing sector.
  • Proficient in drafting and negotiating large, complex, and international commercial agreements.
  • Possess sufficient contracting knowledge to provide guidance and counsel to business teams and others as necessary.
  • Exhibit a business-oriented mindset with the capability to balance business needs against legal risks, fostering an environment of open communication and teamwork.
  • Exceptional verbal communication skills and outstanding writing abilities - a writing sample and confidentiality agreement analysis will be required.
  • Demonstrated capability to plan, prioritize, and organize multiple cross-functional tasks effectively.
  • Detail-oriented with a strong focus on accuracy.
Preferred Qualifications:
  • Experience with corporate manufacturing transactions is advantageous, though not mandatory.
