Job Title: Commercial Contracts Paralegal

About the Role:

We are seeking an experienced Commercial Contracts Paralegal to join our dynamic Legal Department. As a key member of our team, you will provide support with commercial contracts and contract lifecycle management processes, partnering with internal business colleagues to achieve desired results while minimizing legal and operational risks for Convergint.

Key Responsibilities:

  • Review, draft, negotiate, and facilitate execution of various types of commercial contracts, including construction contracts, maintenance contracts, managed services agreements, master service agreements, data privacy agreements, software-as-a-service agreements, NDAs, sourcing and professional services agreements.
  • Review contract terms to identify any potential risk or compliance issues that deviate from company contract guidelines and risk tolerances.
  • Act as liaison between the Legal Department and the business to process customer and vendor contracts.
  • Collaborate with multiple departments, including finance, operations, IT, procurement, and other cross-functional groups on contractual issues and other projects.
  • Draft or update processes, guidelines, and policies as needed to support customer and vendor contracts.

Requirements:

  • Associates or Bachelor's degree.
  • Paralegal degree or paralegal certification preferred.
  • 3-5 years reviewing, revising, negotiating, and summarizing various commercial agreements, construction legal experience preferred.
  • Business and technical knowledge of key contract terms and legal issues in contracts.
  • Familiarity with AIA forms and other construction industry templates is a plus.
