Compliance and Contracts Manager Job Description

We are seeking a highly organized and detail-oriented Compliance and Contracts Manager to oversee our compliance program, contract management processes, and maintain critical certifications.

This role will ensure adherence to regulatory requirements, internal policies, and contractual obligations while supporting business objectives.

The majority of work can be conducted remotely through telecommuting, with occasional travel to customer sites, conferences, and in-person team meetings.

Key Responsibilities:
  • Develop, implement, and maintain compliance programs
  • Conduct risk assessments and internal audits
  • Investigate potential compliance violations and provide mitigation recommendations
  • Provide compliance training to employees
  • Stay current on relevant laws and regulations
  • Liaise with regulatory bodies and external auditors
  • Prepare compliance reports for management
Contract Management:
  • Review contracts and contract redlines to ensure compliance with regulations and company policies
  • Identify and flag potential compliance risks in contracts
  • Collaborate with legal and customer teams on compliance-related contract issues
  • Maintain a library of contract documents
Certification and Audit Management:
  • Implement and monitor controls required for SOC 2 and HIPAA compliance
Risk Management:
  • Identify and assess compliance risks, including those in contracts
  • Develop mitigation strategies for identified risks
  • Monitor ongoing compliance with regulatory and contractual obligations
Policy Development:
  • Create and update policies and procedures related to compliance
  • Ensure alignment between compliance requirements and contracting processes

Requirements:

  • Bachelor's degree in law, business, or related field
  • 3+ years of experience in compliance and managing the contract lifecycle, preferably at a SaaS company
  • Experience negotiating technology transactions and complex commercial transactions
  • Familiarity with legal issues surrounding Cloud/SaaS product offerings and software licensing
  • Strong knowledge of data privacy laws and data security compliance frameworks and audit processes
  • Experience with various legal documents and contractual agreements
  • Strong project management skills and the ability to drive workflows from beginning to end
