Key Responsibilities:

1. Provide expert legal advice on a variety of structured finance and securitization matters, including the structuring, negotiation, and execution of intricate transactions.

2. Draft, review, and negotiate an array of legal documents, such as transaction agreements, disclosure statements, and legal opinions.

3. Conduct thorough legal research and analysis to support transaction execution and ensure compliance with relevant laws and regulations.

4. Collaborate with internal teams and external partners, including business units, outside counsel, and regulatory bodies, to facilitate transaction execution and address legal and regulatory challenges.

5. Contribute to the formulation and implementation of legal policies and procedures that support the structured finance and securitization sectors.

6. Stay informed on legal and regulatory trends in the structured finance and securitization landscape and provide strategic advice to the business.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.

2. Minimum of 3 years of experience as an attorney in structured finance or securitization, ideally within a law firm or corporate legal department.

3. Admission to the bar in New York or Illinois.

4. Strong understanding of structured finance and securitization laws and transactions.

5. Exceptional drafting, negotiation, and communication skills, with the ability to manage multiple projects effectively.

6. Strong analytical and problem-solving abilities, providing practical and business-oriented legal solutions.

7. Capacity to thrive in a hybrid work environment, balancing remote and in-office responsibilities.

8. High level of professionalism and ethical standards, with a commitment to client service and legal excellence.
