Position Overview

The Principal Legal Advisor for Securities and Capital Markets will engage in a variety of legal and securities-related issues within the Office of the Secretary. The successful applicant will possess approximately 5-10 years of experience in corporate securities, either in private legal practice or within a publicly-traded corporation, along with a robust financial acumen. Candidates must demonstrate comprehensive knowledge of the '33 and '34 Acts and the regulations of the New York Stock Exchange. Attention to detail and sound judgment are essential. The ideal candidate will excel in communication and collaboration with clients across all organizational levels, as well as with external parties, and will be capable of working autonomously in a dynamic environment.

Key Responsibilities:

  • Provide guidance on compliance with SEC regulations, NYSE listing standards, Sarbanes-Oxley mandates, and other corporate governance requirements.
  • Review and/or draft all SEC and international securities submissions, including proxy statements, Form 10-K, Form 10-Q, Form 8-K, Section 16, and Form 11-K filings.
  • Counsel on disclosure issues, including press releases, earnings reports, investor presentations, and other external communications.
  • Assist with corporate secretarial duties, including the preparation and review of Board and Committee documentation.
  • Develop and periodically revise corporate governance policies and related documents.
  • Support the review and counsel of Environmental, Social, and Governance (ESG) matters.
  • Collaborate with the Director of Corporate Governance on investor outreach initiatives.
  • Advise and assist with the planning of the Company’s Annual Meeting of Shareowners.
  • Monitor compliance with insider trading policies.
  • Provide counsel to management on executive compensation matters and issues related to the Company’s equity compensation programs.
  • Aid in maintaining corporate records and documentation, including subsidiary management.
  • Stay informed on SEC and NYSE regulations and compliance requirements.
  • Support various departments such as Public Affairs, Human Resources, Investor Relations, and Treasury on compliance-related issues.
  • Collaborate effectively with other specialists and internal legal teams on governance and compliance matters.

Qualifications:

Education: Juris Doctor degree with strong academic performance.

Experience:

  • Minimum of 5 years of relevant experience at a prominent law firm or in-house legal department for a publicly-traded entity.
  • Proven experience in corporate securities within private practice or at a publicly-traded company.
  • Strong financial background is essential.
  • In-depth knowledge of the '33 and '34 Acts and New York Stock Exchange regulations is required.

Skills:

  • Securities Governance and Compliance: Ability to prepare filings to adhere to US securities laws and exchange regulations; provide advice and support to ensure compliance; interpret and monitor existing and proposed US securities legislation.
  • Proxy Statement Management: Ensure compliance with all corporate and director matters, including drafting and producing the annual proxy statement.
  • Governance and Compliance: Foster an ethical culture and ensure adherence to governance standards.
  • Participation in Internal Approvals: Engage in preparing internal Requests for Approvals as required by corporate governance documents.
