Position Overview

The Legal team, located in Atlanta, Georgia, is seeking a Lead Counsel, Finance. This will be a cross-functional role that partners with the Treasury, Accounting, Tax, Finance, and Business teams to provide legal support and project management for debt financing, capital and tax structuring, entity reorganizations, and other critical internal and external strategic transactions.

Responsibilities & Qualifications

Responsibilities

  • Support and advise on a variety of transactional matters relating to our capital structure, with a focus on credit facilities, working capital facilities, bond offerings and other financing and capital markets transactions
  • Provide support and counsel as needed on a diverse array of other strategically important transactional matters, including mergers and acquisitions, venture capital investments, joint ventures, capital investments, and derivatives transactions
  • Lead outside counsel and other external vendors on multi-jurisdictional corporate finance transactions, including derivatives
  • Handle legal compliance with credit agreements, term loans, bonds, and other debt obligations
  • Lead and provide internal legal support for Novelis' derivatives portfolio, including negotiating ISDAs and maintaining compliance with derivatives regulations globally (experience in derivatives is desired, but not required)
  • Work with the legal team to help find opportunities for improvement, supporting legal initiatives and projects, and providing legal training to business teams and other relevant internal collaborators
  • Build positive relationships and efficiently collaborate with business colleagues, in-house attorneys and external parties, including serving as project manager for multiple collaborator engagements

Minimum qualifications

  • JD from an accredited law school and a member in good standing with the bar
  • Licensed to practice law in the U.S.
  • 2-5 years of experience at a credible law firm and/or a large multi-national company working on significant corporate transactions
  • Experience with secured lending facilities and/or debt capital markets transactions as well as hedging/derivatives transactions and compliance is a plus
  • Experience interacting with all levels of an organization including executives and members of senior management
  • Excellent work ethic, strong drafting and project management and coordination skills
  • Outstanding written communication skills
  • Strong sense of ethics and integrity
  • Self-motivated and ability to work independently
  • Effective interpersonal and analytical skills
  • Strong team building skills working with a diverse group of partners
  • Attention to detail to ensure completeness and accuracy of work within established timelines
