We are currently in search of a Director of Legal Affairs to oversee and guide the legal and contracts division, contributing to the overall excellence of Olson Kundig's operations.

Role Overview:

The Director of Legal Affairs is responsible for strategizing and managing all facets of the firm's legal operations, leading a team of legal professionals, and ensuring compliance with applicable laws in all business practices. This role involves developing and executing strategies that align with the firm's operational goals and participating in leadership teams to steer the firm’s vision. The Director will implement impactful initiatives to meet the objectives of both the firm and the legal department.

Contract Oversight & Negotiation
  1. Directs the legal affairs team in all aspects of contract management, including drafting, reviewing, and revising various agreements.
  2. Researches and applies contract management solutions, such as insurance tracking and electronic signatures, to enhance contracting efficiency.
  3. Engages directly with clients and consultants during negotiation processes.
  4. Collaborates with external legal advisors and internal teams to evaluate the necessity for new contracts or amendments.
  5. Stays informed on relevant legal developments to update contracts and templates, providing recommendations for necessary changes.
Insurance Management & Risk Assessment
  1. Oversees the firm’s insurance renewal processes and serves as the main contact for all insurance-related inquiries.
  2. Conducts comprehensive reviews of existing insurance policies to ensure adequate coverage and terms that meet evolving business needs.
  3. Prepares detailed documentation for insurance renewals and maintains organized records of all insurance-related materials.
  4. Coordinates with the finance department to ensure timely processing of premium payments.
Corporate Governance, Compliance, and Licensing
  1. Leads the formulation and adherence to organizational policies that comply with legal standards, providing guidance on legal matters impacting the firm’s operations.
  2. Monitors the firm’s state registrations and licensing obligations, keeping leadership informed of any legal changes that may affect compliance.
  3. Under the CEO's guidance, offers legal counsel to shareholders and assists in the periodic review of corporate governance documents.
  4. Manages all aspects of intellectual property, including patents and copyright registrations.
General Legal Advisory and Leadership
  1. Oversees the development and compliance of the firm’s legal policies in accordance with applicable laws, ensuring the protection of the firm’s legal interests.
  2. Manages litigation matters, dispute resolutions, and professional service claims.
  3. Provides actionable legal advice on operational and strategic matters to leadership and staff across the organization.
  4. Identifies legal issues, drafts essential documents, and presents clear recommendations to ensure compliance.
  5. Under the COO's direction, manages the implementation of a Records Management program and oversees the legal budget.
Qualifications:
  1. Juris Doctor from an ABA-accredited institution and active membership in the bar of at least one US state.
  2. Over 10 years of experience in in-house legal roles, particularly in contract management and corporate governance.
  3. Strong communication skills, both verbal and written, with the ability to engage effectively with diverse stakeholders.
  4. Experience with insurance renewals and a solid understanding of professional liability policies.
  5. Proven track record in negotiating contracts, with international experience considered an asset.
  6. Experience in leading and mentoring a team to achieve departmental and organizational goals.
  7. Proficient in Microsoft Outlook, Word, and Excel.
  8. Ability to manage complex legal tasks independently while supervising external counsel as needed.
  9. Exceptional customer service skills, ensuring positive relationships during negotiations.
  10. Capable of handling multiple priorities in a fast-paced environment while maintaining confidentiality.
  11. Strong decision-making abilities in resolving conflicts during negotiations.
  12. Promotes a collaborative culture by sharing knowledge and enhancing team effectiveness.
